Vibo Africa Agent Program – Terms and Conditions
1. Introduction
These Terms and Conditions (“Agreement”) govern the relationship between Farmbid (“the Company”), the owner and operator of Vibo Africa, and any individual or entity approved to operate as a Vibo Africa Agent (“Agent”).
The Vibo Africa Agent Program is designed to establish a network of authorized agents across Africa who facilitate Grant Coin transactions by maintaining liquidity and ensuring customers receive Grant Coins promptly and efficiently.
By submitting an application, maintaining an agent account, depositing float, conducting transactions, or otherwise participating in the Agent Program, an Agent acknowledges and agrees to be bound by these Terms and Conditions, including any amendments issued by Farmbid from time to time.
2. Ownership and Operation
Vibo Africa is a digital platform wholly owned, managed, and operated by Farmbid.
Farmbid is solely responsible for the administration, management, supervision, and operation of the Vibo Africa Agent Program.
All agent approvals, appointments, commissions, incentives, operational requirements, policy updates, suspensions, and terminations shall be administered by Farmbid.
Agents acknowledge and agree that:
- Their contractual relationship is with Farmbid.
- Participation in the Vibo Africa Agent Program does not create ownership rights in Vibo Africa, Grant Coin, or Farmbid.
- Farmbid retains full authority over the operation and management of the Vibo Africa ecosystem.
- Farmbid may modify, suspend, expand, transfer, or discontinue any aspect of the Agent Program, Grant Coin services, platform features, or operational requirements at its sole discretion.
3. Definitions
For the purposes of this Agreement:
Farmbid means the owner and operator of Vibo Africa.
Vibo Africa means the digital platform and ecosystem operated by Farmbid.
Agent means an individual or organization approved by Farmbid to provide Grant Coin services.
Customer means any individual, group, business, institution, or organization utilizing Vibo Africa services.
Grant Coin means the digital value unit recognized within the Vibo Africa ecosystem.
Float means funds maintained by an Agent for facilitating customer transactions.
Platform means all websites, applications, dashboards, software systems, APIs, and related services operated under Vibo Africa.
Transaction means any approved purchase, sale, transfer, exchange, redemption, or distribution of Grant Coins.
Territory means the country, region, or market in which an Agent is authorized to operate.
4. Agent Categories
Farmbid currently recognizes four categories of Vibo Africa Agents.
Bronze Agent
- Minimum Float Deposit: USD 100
- Commission Rate: 10%
- Entry-level category suitable for local and community-based operations.
Silver Agent
- Minimum Float Deposit: USD 250
- Commission Rate: 14%
- Medium transaction capacity with enhanced earning opportunities.
Gold Agent
- Minimum Float Deposit: USD 500
- Commission Rate: 20%
- High transaction capacity with priority operational support.
Platinum Agent
- Minimum Float Deposit: USD 1,000
- Commission Rate: 24%
- Highest transaction capacity with priority settlements and advanced support services.
Farmbid reserves the right to revise category requirements, introduce new categories, or discontinue existing categories without prior notice.
5. Eligibility Requirements
Applicants must:
- Be at least eighteen (18) years of age.
- Possess a valid government-issued identification document.
- Maintain an active Vibo Africa account.
- Provide accurate and truthful information.
- Meet the minimum float requirement for their selected category.
- Have access to a smartphone, computer, or internet-enabled device.
- Comply with all applicable laws and regulations in their country of operation.
Farmbid reserves the right to approve or reject any application without providing reasons.
6. Application and Approval Process
Application Submission
Applicants must complete the official Vibo Africa Agent Application Form and submit all requested supporting documents.
Identity Verification
Applicants may be required to provide:
- National Identification Card.
- Passport.
- Business registration documents (where applicable).
- Proof of residence or address.
- Additional documents as requested.
Assessment and Due Diligence
Farmbid may:
- Verify information submitted.
- Conduct interviews.
- Review business suitability.
- Perform compliance assessments.
Approval
Approval is granted solely at the discretion of Farmbid and may be withdrawn at any time.
7. Float Deposit Requirements
Agents must maintain the minimum float associated with their approved category.
The float shall be used for:
- Facilitating customer transactions.
- Maintaining liquidity.
- Ensuring uninterrupted service delivery.
Agents remain fully responsible for managing and replenishing their float balances.
Farmbid may suspend transaction capabilities where float balances fall below required thresholds.
8. Responsibilities of Agents
Agents shall:
Transaction Services
- Ensure customers receive Grant Coins promptly.
- Facilitate approved Grant Coin purchases.
- Facilitate approved Grant Coin sales.
- Process transactions accurately and securely.
Record Keeping
Agents shall maintain complete and accurate records relating to:
- Transactions.
- Customer requests.
- Float balances.
- Complaints and disputes.
Compliance
Agents shall:
- Follow all Farmbid and Vibo Africa policies.
- Cooperate with audits and investigations.
- Observe all applicable laws and regulations.
Professional Conduct
Agents shall:
- Treat customers fairly and respectfully.
- Act honestly and ethically.
- Protect the reputation of Vibo Africa and Farmbid.
9. Agent Independence
Agents operate as independent contractors.
Nothing in this Agreement creates:
- Employment.
- Partnership.
- Joint venture.
- Franchise relationship.
- Legal agency relationship.
Agents are solely responsible for:
- Taxes.
- Business licenses.
- Operating expenses.
- Employee obligations.
- Regulatory compliance.
10. Commissions and Incentives
Agents earn commissions on every verified Grant Coin transaction completed through their agent account.
Commission Structure

Commission Eligibility
Commissions shall only be earned on completed and verified transactions successfully processed by the Agent.
Commission Payments
- Commissions shall be calculated automatically by the Vibo Africa system.
- Payments may be credited instantly or according to schedules determined by Farmbid.
- Farmbid reserves the right to withhold, reverse, or adjust commissions where fraud, abuse, duplicate transactions, technical errors, or policy violations are detected.
Agent Category Upgrades
Agents may upgrade to a higher category by meeting the minimum float requirement applicable to that category. Once approved, the higher commission rate shall apply to future transactions.
Agent Category Downgrades
Farmbid reserves the right to downgrade an Agent where the required minimum float is not maintained. The commission structure shall automatically adjust to the corresponding category.
Promotional Incentives
Farmbid may introduce:
- Performance bonuses.
- Referral rewards.
- Regional promotions.
- Seasonal campaigns.
- Agent recognition awards.
These incentives may be amended, suspended, or withdrawn at any time.
No Guaranteed Income
Agent earnings depend on transaction volumes and market activity. Farmbid does not guarantee any minimum level of income, profit, or earnings.
11. Prohibited Activities
Agents shall not:
Fraudulent Activities
- Create fake transactions.
- Manipulate transaction records.
- Submit false reports.
- Engage in fraud or deception.
Misrepresentation
- Make false claims regarding Vibo Africa.
- Guarantee profits or investment returns.
- Misrepresent Grant Coin services.
Unauthorized Activities
- Transfer agent accounts.
- Share account credentials.
- Operate under another person’s identity.
Illegal Activities
- Money laundering.
- Terrorist financing.
- Sanctions violations.
- Criminal conduct.
Any violation may result in immediate suspension or termination.
12. Customer Protection and Confidentiality
Agents shall:
- Protect customer information.
- Maintain confidentiality.
- Verify transaction details before processing.
- Prevent unauthorized access to customer records.
Customer information may only be used for legitimate operational purposes approved by Farmbid.
13. Monitoring, Audits, and Investigations
Farmbid reserves the right to:
- Monitor agent activities.
- Review transactions.
- Conduct compliance audits.
- Request supporting documentation.
- Investigate suspicious activities.
Agents must cooperate fully with all reviews and investigations. Failure to cooperate may result in suspension or termination.
14. Suspension of Agent Accounts
Farmbid may suspend an Agent account where:
- Fraud is suspected.
- Policy violations occur.
- Compliance concerns arise.
- Security risks are identified.
- Float requirements are not maintained.
- False information is discovered.
Suspension may be temporary or permanent.
15. Termination
Farmbid may terminate an Agent relationship at any time where:
- These Terms are violated.
- Fraudulent conduct is suspected.
- The Agent damages the reputation of Farmbid or Vibo Africa.
- Regulatory or compliance concerns arise.
Termination immediately revokes all Agent privileges.
16. Branding and Intellectual Property
All trademarks, logos, trade names, software, content, designs, documentation, and branding materials associated with Farmbid and Vibo Africa remain the exclusive property of Farmbid.
Agents may only use officially approved branding materials. Agents shall not:
- Modify branding materials.
- Register similar trademarks.
- Create misleading promotional content.
- Claim ownership of Vibo Africa intellectual property.
17. Technology and Security
Agents are responsible for safeguarding:
- Passwords.
- Devices.
- Login credentials.
- Communication channels.
Farmbid shall not be liable for losses resulting from negligence, weak security practices, unauthorized access, or compromised devices controlled by Agents.
18. Limitation of Liability
To the fullest extent permitted by law, Farmbid shall not be liable for:
- Loss of profits.
- Business interruption.
- Indirect damages.
- Consequential damages.
- Market fluctuations.
- Third-party actions.
- Government actions affecting operations.
Agents assume all business risks associated with participation in the Agent Program.
19. Force Majeure
Farmbid shall not be liable for delays or failures caused by:
- Natural disasters.
- War.
- Civil unrest.
- Internet outages.
- Power failures.
- Government restrictions.
- Banking disruptions.
- Technical failures.
20. Amendments
Farmbid reserves the right to amend these Terms and Conditions at any time. Updated Terms become effective immediately upon publication unless otherwise stated. Continued participation in the Agent Program constitutes acceptance of revised Terms.
21. Dispute Resolution
Any dispute arising under these Terms shall first be addressed through good-faith negotiations. Where a resolution cannot be reached, Farmbid may determine the appropriate dispute resolution mechanism, including mediation, arbitration, or legal proceedings.
22. Entire Agreement
These Terms and Conditions constitute the entire agreement between Farmbid and the Agent and supersede all prior communications, representations, and understandings relating to the Vibo Africa Agent Program.
23. Acceptance
By applying for, being approved as, or continuing to operate as a Vibo Africa Agent, the Agent confirms that they have read, understood, and agreed to comply with these Terms and Conditions.
