Effective Date: 10 August 2026
These Terms and Conditions govern access to and use of the Green Cart platform operated by Vibo Africa. By creating an account, accessing the platform, listing a product, placing an order, participating in adoption, submitting a donation request, or otherwise using Green Cart, you agree to these Terms and Conditions. If you do not agree to these Terms, you should not use Green Cart.
Green Cart is a digital agricultural marketplace designed to connect farmers with buyers, adopters or sponsors, and humanitarian groups.
The platform provides opportunities for users to:
Vibo Africa operates and provides the technology behind Green Cart.
Green Cart provides a platform that enables users to connect with one another. Unless specifically stated otherwise, Vibo Africa is not the seller, buyer, farmer, adopter, sponsor, donor or recipient involved in a transaction between users.
Users are responsible for their own listings, products, requests, commitments, payments and interactions with other users.
Green Cart supports four main categories of users:
Farmers — Farmers can sell agricultural products, offer eligible crops, trees or animals for adoption, and choose whether they accept agricultural donation requests.
Buyers — Buyers can browse and purchase agricultural products listed by farmers.
Adopters or Sponsors — Adopters or sponsors can support crops, trees, animals or agricultural activities made available for adoption by farmers.
Humanitarian Groups — Humanitarian groups can submit agricultural donation requests to farmers who have indicated that they are accepting donations.
Different rules may apply to each category of user.
Users must provide accurate information when registering or using Green Cart. By using the platform, you confirm that:
Where an organization creates an account, the person registering must be authorized to represent that organization.
Some Green Cart services require users to create an account. Users are responsible for:
Users must not sell, transfer or share their accounts with another person without authorization from Green Cart. If you believe your account has been compromised, you should notify Green Cart promptly.
Green Cart may require users to provide additional information or documentation for verification. Verification may be required for certain users, transactions, organizations, adoption opportunities or donation requests.
Providing verification information does not guarantee acceptance or approval. Green Cart may refuse, suspend or restrict an account where information provided cannot reasonably be verified or where there are concerns regarding fraud, safety or compliance.
Users are responsible for ensuring that all information submitted to Green Cart is accurate and not misleading. This includes:
Users must promptly correct information that becomes inaccurate.
Users must use Green Cart responsibly, honestly and lawfully. Users must not:
Users must ensure that products and agricultural activities listed on Green Cart comply with applicable laws and regulations. Users must not list prohibited, unlawful or unsafe products or activities.
Where a product or activity requires specific legal approvals, licences or permits, the relevant user is responsible for obtaining and maintaining them.
Transactions conducted between users are primarily agreements between the parties involved. For example: Farmer ↔ Buyer, Farmer ↔ Adopter/Sponsor, Farmer ↔ Humanitarian Group.
Each party is responsible for understanding and fulfilling their obligations before entering into an agreement. Green Cart may provide tools to facilitate the transaction but does not automatically guarantee the performance of either party.
Where Green Cart provides payment facilities, payments may be processed through Green Cart or approved third-party payment providers. Users must provide accurate payment information.
Applicable transaction fees, platform fees, delivery charges or other charges will be communicated where applicable.
Green Cart may delay, hold, reverse or review a payment where reasonably necessary because of:

The Green Cart platform, including its branding, logos, designs, software, text, graphics and other platform materials, belongs to Vibo Africa or its relevant licensors unless otherwise stated.

Third-party services may have their own terms and privacy policies. Green Cart is not responsible for matters that are solely within the control of an independent third-party provider, subject to applicable law.
Green Cart may suspend, restrict or terminate an account where there are reasonable grounds to believe that the user:
Where appropriate, Green Cart may provide the user with an opportunity to address the issue.
A user may request closure of their Green Cart account. Account closure may not immediately cancel obligations or transactions that existed before closure.
Outstanding orders, payments, adoption arrangements, donation commitments, complaints or disputes may continue to be handled after account closure where necessary.
Green Cart provides the digital environment through which users connect. To the extent permitted by applicable law, Green Cart does not guarantee:
Users should exercise reasonable care before entering into transactions or arrangements with other users.
Users should first attempt to resolve transaction-related issues directly and professionally with the other party. Where this is unsuccessful, the user may contact the Green Cart Support Centre.
Green Cart may review relevant information and, where appropriate, facilitate communication between the parties. Green Cart may also take action against accounts that violate these Terms.
The existence of a complaint process does not make Green Cart a party to the underlying transaction unless expressly agreed otherwise.

To the extent permitted by applicable law, users are responsible for losses, claims, liabilities or expenses arising from their own unlawful conduct, misuse of Green Cart, violation of these Terms or infringement of another person's rights.
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of Kenya, subject to any mandatory legal requirements that may apply.
Where a dispute cannot be resolved through the available Green Cart complaint process, the matter may be referred to the appropriate court, tribunal, mediation, arbitration or other dispute-resolution mechanism as permitted by Kenyan law.
Vibo Africa may improve, modify, add or remove features from Green Cart from time to time. Changes may be necessary to:
Vibo Africa may update these Terms and Conditions from time to time. The updated Terms will be published or otherwise made available through Green Cart. Where required, users will be notified of significant changes.
Continued use of Green Cart after the effective date of updated Terms will constitute acceptance of the updated Terms, subject to applicable law.
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms, together with applicable Green Cart policies, including the Privacy Policy and any specific terms applicable to particular services, form the agreement governing the user's use of Green Cart, subject to applicable law.
For questions, complaints, technical issues or other concerns relating to Green Cart, users should use the official Contact Us or Support Centre channels provided on the platform.
When submitting a complaint, users should provide relevant information such as the account, order, adoption or donation request involved so that the matter can be properly reviewed.
Farmers must provide accurate personal and farm information when creating a Green Cart account. Farmers are responsible for ensuring that their farm details, contact information, location and other submitted information remain accurate and up to date.
A farmer's Green Cart profile may contain:
Farmers are responsible for the accuracy of information displayed on their profile.
Farmers may list agricultural products for sale through Green Cart. Each listing should provide sufficient and accurate information to allow buyers to understand what is being offered. Where applicable, the farmer should provide:
Farmers must ensure that products reasonably correspond with their descriptions. Farmers must not intentionally misrepresent:
If a product changes materially after being listed, the farmer should update the listing.
Farmers must make reasonable efforts to keep product availability accurate. If a listed product becomes unavailable, the farmer should update, pause or remove the listing. Farmers should not knowingly accept orders for products they cannot fulfil.
Farmers are responsible for setting the prices of their products. Prices displayed on Green Cart should be accurate. Where applicable, additional charges such as delivery, packaging or transaction fees should be clearly communicated before the buyer completes the transaction.
When a buyer places an order, the farmer must follow the applicable Green Cart order process. Where an order is accepted, the farmer is expected to make reasonable efforts to provide:
A farmer should notify the buyer as soon as reasonably possible if they cannot fulfil an accepted order. Repeatedly accepting orders and failing to fulfil them without reasonable justification may result in restrictions on the farmer's account. Where Green Cart provides a cancellation process, farmers must use the applicable process.
Farmers may independently choose whether to participate in the Green Cart adoption system. The adoption function is separate from product sales.
A farmer may have: Selling — ON, Adoption — OFF, Donations — ON, or any other combination permitted by the platform.
A farmer may make eligible crops, trees, animals or agricultural activities available for adoption. The farmer must provide accurate information about the adoption opportunity. This may include:
Farmers have control over whether an adoption opportunity is available. If adoption is switched off, the relevant opportunity should no longer be available for new adoption requests. Existing accepted adoption arrangements may continue according to their agreed terms.
Adopters or sponsors may submit requests to adopt an available agricultural opportunity. The farmer has the right to review each request and may accept or decline it.
An adoption is not considered confirmed until the farmer has accepted the request through the applicable Green Cart process.
Adoption does not automatically transfer ownership of land, farms, crops, trees, animals or agricultural equipment. Unless a separate lawful agreement states otherwise, ownership remains with the farmer or lawful owner.
Farmers must clearly communicate the terms applicable to each adoption opportunity. These terms may include:
Farmers should not promise benefits that they cannot reasonably provide.
Where updates are included in an adoption arrangement, farmers should provide reasonable and truthful updates. Updates may include photos, growth information, production progress, milestones and general farm updates.
Farmers may choose whether they are willing to provide agricultural donations. The donation function is independent of selling and adoption.
A farmer may enable Accepting Donations — ON or Accepting Donations — OFF.
When accepting donations is enabled, the farmer may specify:
Turning on donation availability does not automatically require the farmer to accept every donation request.
Humanitarian groups may submit donation requests to eligible farmers. A farmer may review the request and decide whether to accept or decline it. The farmer should only accept a request where they reasonably believe they can fulfil the agreed donation.
Once a farmer accepts a donation request, the farmer should make reasonable efforts to fulfil the agreed commitment. If the farmer becomes unable to fulfil the commitment, they should notify the humanitarian group as soon as reasonably possible.
Farmers using Green Cart are responsible for:
Farmers must not:
Green Cart may restrict or suspend a farmer's account where there is evidence of fraud, repeated false listings, repeated failure to fulfil accepted orders, abuse of buyers or other users, fraudulent adoption opportunities, fraudulent donation activities, illegal activities, or repeated violations of these Terms.
Where Green Cart facilitates payments to farmers, payments will be processed according to the applicable payment terms. Farmers must provide accurate payment information.
Applicable platform fees, transaction charges or other deductions will be communicated through the relevant service. Green Cart may delay or hold payments where reasonably necessary for fraud checks, disputes, chargebacks, technical issues or legal requirements.
Farmers are responsible for complying with applicable tax, licensing, agricultural, commercial and other legal obligations relating to their activities. Green Cart does not automatically assume responsibility for a farmer's individual tax or regulatory obligations.
Where a dispute arises between a farmer and another user, the parties should first attempt to resolve the matter directly. If the issue cannot be resolved, either party may contact the Green Cart Support Centre. Green Cart may review available information and assist with the resolution process where appropriate.
Buyers must provide accurate information when creating a Green Cart account. Buyers are responsible for keeping their account and contact information up to date.
Buyers can browse agricultural products listed by farmers. Product information may include product name, description, price, quantity, availability, farmer information, location and photos. Buyers should review the available information before placing an order.
A buyer may select a product, specify the required quantity and submit an order through Green Cart. Submitting an order does not necessarily mean that the order has been accepted until the applicable confirmation is provided.
Farmers are responsible for the information contained in their product listings. Buyers should review product details carefully before completing a purchase. Where clarification is required, buyers should seek clarification before placing an order.
The price displayed for a product should be the applicable price at the time of purchase, subject to any clearly stated additional charges. Additional costs may include delivery fees, packaging charges, transaction charges or other applicable service charges. Where applicable, these charges should be displayed before the buyer completes the transaction.
Buyers must use the payment methods made available through Green Cart. Buyers are responsible for providing accurate payment information. An order may not be processed until the required payment has been successfully received or confirmed.
Once an order has been successfully placed and accepted, the buyer should receive an appropriate confirmation through the platform or the contact information provided. The confirmation may contain the order number, products ordered, quantity, price, delivery or collection information, payment status and farmer information where applicable.
Delivery or collection arrangements may vary depending on the farmer, product and location. Where delivery is offered, the applicable delivery terms should be communicated during the transaction. Buyers are responsible for providing accurate delivery information where delivery is required.
Buyers should inspect products upon delivery or collection where reasonably possible. If there is a significant issue with the order, the buyer should report it through the applicable Green Cart process as soon as reasonably possible.
If a buyer receives a product that is materially different from the order, is missing an item or has another significant issue, the buyer should contact the farmer or Green Cart Support Centre promptly. The matter may be reviewed based on order details, product listing, payment records, delivery information, communication between the parties and other relevant evidence.
A buyer may request cancellation of an order where cancellation is permitted under the applicable order terms. Cancellation may not be possible after an order has already been prepared, dispatched or otherwise fulfilled. Any applicable cancellation, refund or administrative terms will be communicated through the platform.
Where a refund is applicable, it will be processed according to Green Cart's refund procedures and the circumstances of the transaction. Refunds may be subject to verification of the relevant transaction. Where a third-party payment provider is involved, processing times may depend on that provider.
Buyers must provide accurate information, make payments as required, provide accurate delivery details, review product information before purchasing, receive or collect orders as agreed, communicate respectfully with farmers, report problems promptly, and use Green Cart lawfully.
Buyers must not use fraudulent payment methods, create fake orders, manipulate reviews or ratings, intentionally damage or misuse products, misrepresent delivery or order issues, harass farmers, use Green Cart for illegal activities, or attempt to defraud farmers or Green Cart.
Green Cart may suspend or restrict a buyer's account where there is evidence of fraudulent activity, repeated fake orders, payment abuse, harassment, misuse of refunds, manipulation of reviews, or violation of these Terms.
Buyers should first attempt to resolve order issues with the relevant farmer. If the issue cannot be resolved, the buyer may contact the Green Cart Support Centre. Green Cart may review the available information and facilitate communication or resolution where appropriate.
Where Green Cart provides ratings and reviews, buyers must provide honest and relevant feedback based on their actual experience. Buyers must not create fake reviews, post reviews for transactions that did not occur, threaten farmers with negative reviews, accept incentives for misleading reviews, or use reviews to harass another user. Green Cart may remove reviews that violate these Terms.
The buyer is responsible for determining whether a product meets their requirements before purchasing. Where a product has specific agricultural, food, handling or usage requirements, buyers should obtain appropriate information before completing the transaction.
An adopter or sponsor is a Green Cart user who chooses to support a crop, tree, animal or eligible agricultural activity made available for adoption by a farmer. Adoption is intended to create a connection between the adopter and the selected agricultural opportunity.
Farmers decide which crops, trees, animals or agricultural activities are available for adoption. Adopters can browse available opportunities and review the information provided before submitting an adoption request.
An adoption listing may include crop, tree or animal type, farmer information, farm location, photos, description, adoption period, adoption contribution, expected benefits, updates available to the adopter, and specific adoption conditions. Adopters should review this information before submitting a request.
An adopter may select an available opportunity and submit an adoption request. Submitting a request does not automatically confirm the adoption. The farmer may review the request and accept or decline it. The adoption becomes active only after acceptance through the applicable Green Cart process.
Where an adoption requires a financial contribution, the applicable amount and payment terms will be displayed before the adopter completes the process. The adopter is responsible for ensuring that payment information is accurate.
Adoption gives the adopter the rights and benefits specifically stated in the adoption arrangement. Unless a separate written agreement provides otherwise, adoption does not give the adopter ownership of the farm, land, crop, tree, animal, farm equipment or other assets belonging to the farmer.
The benefits provided to an adopter depend on the terms of the specific adoption opportunity. Benefits may include progress updates, photos, information about the adopted crop or animal, production updates, milestone updates, and other benefits specified by the farmer. Not every adoption opportunity will provide the same benefits.
Each adoption opportunity may have a specified adoption period. The adoption will operate according to the terms provided when the adopter joins the arrangement. Where an adoption period expires, continuation or renewal may require a new agreement or renewal process.
Where updates are included, the farmer should provide reasonable and truthful information about the adopted agricultural activity. Green Cart does not guarantee a specific agricultural outcome, harvest, yield, animal production level or financial return from an adoption.
Agricultural activities may be affected by circumstances including weather, disease, pests, natural events, market conditions, animal health, farming conditions, and other circumstances outside the farmer's reasonable control.
An adopter may request cancellation where cancellation is permitted under the specific adoption terms. Cancellation may be subject to the stage of the adoption, payments already made and commitments already undertaken. Any applicable refund or cancellation conditions will be communicated during the adoption process.
Unless expressly stated otherwise, adoption is not an investment product and does not guarantee a financial return. Any benefits associated with an adoption will be those specifically described in the relevant adoption arrangement.
Adopters must provide accurate information, make agreed payments, review adoption terms before participating, respect farmers and farm operations, use the platform lawfully, avoid making unauthorized claims about ownership, and communicate respectfully with farmers.
Adoption does not automatically give an adopter physical access to a farmer's land or farm. Where farm visits are permitted, they must be arranged with the farmer and must comply with the farmer's safety, access and operational requirements.
An adopter may not transfer an adoption to another person unless the farmer and Green Cart, where applicable, approve the transfer.
Adopters must not misrepresent themselves as owners of adopted assets, interfere with farm operations, make unauthorized demands on farmers, provide false information, attempt to manipulate adoption records, create fraudulent adoption requests, harass or threaten farmers, or use adoption for unlawful purposes.
A farmer has the right to decline an adoption request. Submitting an adoption request does not create an obligation for the farmer to accept it.
Farmers may update or modify an adoption opportunity where necessary. Where a material change affects an existing adopter, the relevant parties should be informed where reasonably possible.
An adoption may end when the adoption period expires, the agreed arrangement is completed, the adopter cancels where permitted, the farmer terminates the arrangement under the applicable terms, the agricultural activity is no longer available, the account is suspended or terminated, or circumstances make continuation impossible.
Where an adoption ends, any applicable refund or outstanding obligation will be handled according to the specific adoption terms and applicable law.
Adopters should first communicate with the farmer regarding concerns about an adoption. If the matter cannot be resolved, the adopter may contact the Green Cart Support Centre. Green Cart may review the available information and assist with communication or dispute resolution where appropriate.
Green Cart does not guarantee that an adopted crop will produce a particular yield, that an adopted tree will survive or that an adopted animal will remain healthy or productive. Agriculture involves natural and operational risks that may affect the outcome of an adoption.
A humanitarian group is an organization, community group, charity, non-profit organization or other eligible group that uses Green Cart to request agricultural donations from farmers who have indicated that they are accepting donations.
Humanitarian groups must provide accurate information when creating an account. Where required, the group may be asked to provide supporting information or documentation confirming its identity, activities or authority to operate.
A humanitarian group's profile may include organization name, registration information where applicable, contact person, contact details, location, description of the organization, purpose of the organization, beneficiary information, and relevant supporting documentation. The group is responsible for ensuring that its information remains accurate.
Humanitarian groups may submit requests for agricultural donations from farmers who have enabled the donation function. A donation request should clearly state what is needed, quantity required, intended beneficiaries, purpose of the donation, location, preferred timeframe, and any relevant delivery or collection information.
All information provided in a donation request must be truthful and accurate. A humanitarian group must not create false beneficiaries, misrepresent its activities, inflate the quantity required, use false documentation, misrepresent the intended use of donated products, or submit fraudulent requests.
Submitting a donation request does not guarantee that a farmer will provide a donation. Farmers have the right to review, accept or decline donation requests. A humanitarian group must respect the farmer's decision.
Where a farmer accepts a donation request, the humanitarian group should cooperate with the farmer to complete the agreed arrangement. The parties should agree on relevant matters such as quantity, collection or delivery, timing, location, beneficiary arrangements, and other applicable conditions.
Donated agricultural products must be used for the purpose stated in the donation request. A humanitarian group must not knowingly resell donated products where resale is not permitted, divert donations for personal benefit, misappropriate donated products, or use donations for an unlawful purpose.
Humanitarian groups are responsible for ensuring that donations reach the intended beneficiaries or are used for the stated humanitarian purpose. Where appropriate, Green Cart may request information confirming how donations were utilized.
The farmer and humanitarian group should agree on whether the donation will be collected by the humanitarian group, delivered by the farmer, delivered through a third-party service, or handled through another agreed arrangement. Any applicable delivery costs or responsibilities should be agreed before fulfilment.
Unless otherwise agreed, a donation is intended to be provided without a sale price for the donated agricultural product. However, costs relating to transport, packaging, handling or other services may apply where agreed between the parties.
Green Cart does not guarantee that a humanitarian group's request will receive a response or donation. The availability of donations depends on participating farmers and the circumstances of each request.
A humanitarian group may cancel a donation request where it has not yet been accepted or fulfilled. If a request has already been accepted, the group should communicate with the farmer before cancelling.
If the group's needs change after submitting a request, it should update the request or notify the relevant farmer. Material changes should be communicated before a donation is fulfilled.
Humanitarian groups must provide accurate information, use donations responsibly, maintain appropriate records where required, respect farmers, honour agreed arrangements, protect beneficiary information, comply with applicable laws, and use Green Cart only for legitimate humanitarian purposes.
Humanitarian groups should avoid unnecessarily publishing sensitive personal information about beneficiaries. Where beneficiary information is required, the group must ensure that it has the appropriate authority or lawful basis to provide that information.
Humanitarian groups must not use Green Cart to create fraudulent donation campaigns, misrepresent beneficiaries, collect donations for personal enrichment, sell donated agricultural products without authorization, submit duplicate or misleading requests, misuse farmer information, harass farmers, or engage in unlawful activities.
Green Cart may verify humanitarian groups and their requests where reasonably necessary. Verification may include requesting registration documents, identification, contact information, supporting documentation, information about beneficiaries, and details about the intended use of donations. Verification does not constitute an endorsement or guarantee of the organization.
Green Cart may suspend or terminate a humanitarian group's account where there are reasonable grounds to believe that the group submitted fraudulent information, misused donations, misrepresented beneficiaries, violated these Terms, engaged in unlawful activity, or misused the platform.
The humanitarian group should first attempt to resolve any dispute directly with the farmer. Where the issue cannot be resolved, the group may contact the Green Cart Support Centre. Green Cart may review relevant information and facilitate communication where appropriate.
Green Cart provides the platform for connecting humanitarian groups with farmers. Green Cart does not guarantee the outcome, impact or effectiveness of a donation after it has been provided. The humanitarian group remains responsible for the proper use and distribution of donations.
The Green Cart Marketplace allows farmers to list agricultural products and buyers to discover and purchase those products. Green Cart provides the technology that facilitates the connection between farmers and buyers.
Farmers are responsible for creating accurate product listings. Each listing should provide relevant information such as product name, description, quantity, price, availability, location, photos, and relevant product information. Green Cart may remove or restrict listings that violate these Terms or applicable laws.
Product availability is controlled by the farmer. A product may become unavailable due to being sold, changes in production, seasonal availability, insufficient stock, or other circumstances affecting the farmer. Farmers should update listings when products are no longer available.
A buyer places an order by selecting a product and completing the applicable order process. An order is considered confirmed only when the required confirmation is provided by Green Cart or the farmer, depending on the applicable transaction process.
A farmer may be required to confirm an order before fulfilment. Green Cart may cancel or restrict an order where the product is unavailable, the listing contains an error, payment has not been confirmed, fraud is suspected, there is a technical problem, or fulfilment is not possible.
Farmers are responsible for the prices displayed on their listings. Prices may change from time to time. The applicable price should be the price displayed at the time the buyer completes the purchase, subject to clearly stated terms.
Depending on the transaction, additional charges may apply, including delivery fees, packaging fees, payment processing charges, platform service charges, and other applicable charges. Any applicable charges should be communicated before the transaction is completed.
Buyers must complete payment using the payment methods made available through Green Cart. A transaction may remain pending until payment is confirmed. Green Cart may use approved third-party payment providers.
Payment processing may be subject to the terms of the relevant payment provider. Green Cart is not responsible for delays caused solely by a third-party payment provider, bank, mobile money service or other financial institution, subject to applicable law.
Delivery arrangements may vary depending on the product, farmer and buyer location. Where delivery is available, the applicable delivery terms will be communicated during the transaction. The farmer, buyer or third-party delivery provider may be responsible for different parts of the delivery process depending on the agreed arrangement.
Where products are collected directly from a farm or another location, the buyer must follow the agreed collection arrangements. Buyers should not enter private farms or agricultural premises without authorization.
Buyers should inspect products upon delivery or collection where reasonably possible. Any significant issue should be reported promptly through the applicable Green Cart support or dispute process.
Where a buyer believes that a product is materially different from the agreed order, the buyer should first contact the farmer. If the matter cannot be resolved, Green Cart Support may review the product listing, order information, payment records, delivery information, photographs, communication between the parties, and other relevant evidence.
Cancellation rights may depend on the status of the order. An order may be cancelled where the farmer has not yet fulfilled it, the buyer requests cancellation within the permitted period, the product is unavailable, payment has failed, or fraud is suspected.
By using Green Cart, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions, effective 10 August 2026.
