These Terms and Conditions govern access to and use of the SOC Vibo Africa platform. By creating an account, accessing the platform, booking a service, or otherwise using any SOC Vibo Africa service, you confirm that you have read, understood, and agreed to be bound by these Terms.
These Terms and Conditions (“Terms”) govern access to and use of the SOC Vibo Africa platform, including its website, mobile applications, digital dashboards, field-management tools, artificial intelligence tools, farm mapping services, carbon project services, payment systems, contractor services, training resources, and any other products or services made available through the platform.
SOC Vibo Africa (“SOC Vibo,” “we,” “our,” or “us”) operates a digital platform designed to connect farmers, landowners, contractors, agricultural professionals, community organizations, project developers, carbon-market participants, buyers, and other authorized users for purposes including agricultural data collection, farm mapping, field management, regenerative agriculture, greenhouse-gas measurement, carbon project development, monitoring, reporting, verification, and related services.
These Terms apply to every person or organization that accesses, registers on, books a service through, submits information to, or otherwise uses the SOC Vibo Africa platform (“User,” “you,” or “your”).
By creating an account, accessing the platform, booking a service, submitting farm or project information, accepting a contractor assignment, participating in a carbon project, or otherwise using any SOC Vibo Africa service, you confirm that you have read, understood, and agreed to be bound by these Terms and any applicable policies, guidelines, schedules, or additional terms published by SOC Vibo Africa.
If you do not agree with these Terms, you must not create an account or use the platform.
These Terms establish the rights, responsibilities, obligations, limitations, and conditions applicable to users of SOC Vibo Africa. They are intended to provide a clear framework for the safe and responsible use of the platform and to establish how information, farm data, mapping information, carbon-related activities, payments, contractor services, and other platform activities are managed.
The Terms are designed to protect farmers and landowners while also protecting contractors, project partners, buyers, investors, service providers, and SOC Vibo Africa from misuse, fraud, unauthorized activities, inaccurate information, and other conduct that could compromise the integrity of the platform.
Certain services available through SOC Vibo Africa may be governed by additional terms.
For example, a farmer participating in a carbon project may be required to accept specific carbon-project conditions, while a contractor may be required to accept contractor-specific obligations before accessing field assignments or specialized tools.
Where additional terms apply, they shall form part of the agreement between the relevant User and SOC Vibo Africa. In the event of a conflict between these general Terms and a specific service agreement, the specific agreement shall apply only to the extent necessary to address the particular service or transaction.
SOC Vibo Africa may update, amend, replace, or modify these Terms from time to time to reflect changes in technology, legislation, platform functionality, business operations, carbon-market requirements, agricultural practices, security requirements, or other circumstances.
Where material changes are made, SOC Vibo Africa may provide notice through the platform, email, SMS, dashboard notifications, or other reasonable communication channels.
Continued use of the platform after updated Terms become effective constitutes acceptance of the revised Terms.
SOC Vibo Africa provides technology, coordination, data-management, field-operation, and project-management services. Unless expressly stated otherwise in a separate agreement, SOC Vibo Africa does not guarantee a particular agricultural yield, financial return, carbon-credit issuance, carbon-credit price, project approval, certification outcome, or investment return.
The availability of a tool, service, mapping function, carbon calculator, AI function, or project opportunity on the platform does not constitute a guarantee that a particular result will be achieved.
Each User is responsible for ensuring that the information submitted to SOC Vibo Africa is accurate, complete, current, and legally obtained.
Users must not knowingly submit false farm information, inaccurate measurements, fraudulent documents, fabricated photographs, manipulated field records, false ownership information, or any other information intended to mislead SOC Vibo Africa, another User, a project partner, a verifier, a carbon-credit buyer, or any other authorized party.
Where information changes after submission, the User is responsible for notifying SOC Vibo Africa and updating the relevant information where the platform permits such updates.
By using the platform, a User confirms that they have the legal capacity and authority to enter into these Terms.
Where an individual registers or acts on behalf of a company, cooperative, CBO, farmer group, family, estate, institution, or other organization, that individual represents that they have the authority to act on behalf of that entity.
SOC Vibo Africa may request documentation to verify such authority where reasonably necessary.
Failure by SOC Vibo Africa to immediately enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision at a later time.
Any waiver must be expressly communicated or documented by an authorized representative of SOC Vibo Africa.
If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted by law.
SOC Vibo Africa may replace the affected provision with a valid provision that most closely reflects the original intention of the provision.
These Terms, together with any applicable privacy policy, project-specific agreements, contractor agreements, payment terms, platform policies, and other documents expressly incorporated into them, constitute the agreement governing the User's use of SOC Vibo Africa.
The Terms supersede previous general representations or understandings concerning the same subject matter, except where a separate written agreement expressly provides otherwise.
For the purposes of these Terms and Conditions, the following words and expressions shall have the meanings assigned to them below. Where the context requires, words in the singular shall include the plural and words in the plural shall include the singular.
“SOC Vibo Africa,” “SOC Vibo,” “the Company,” “we,” “our,” or “us” means the entity operating and managing the SOC Vibo Africa digital platform and its associated agricultural, environmental, carbon, field-management, data, technology, and support services.
“Platform” means the SOC Vibo Africa digital ecosystem, including its website, mobile applications, dashboards, databases, software, digital tools, artificial intelligence systems, mapping systems, payment interfaces, communication channels, field-operation systems, and any other digital infrastructure operated or authorized by SOC Vibo Africa.
“User,” “you,” or “your” means any person, organization, company, farmer, landowner, contractor, project developer, CBO, farmer group, institution, buyer, partner, service provider, or other authorized party accessing or using the Platform.
“Farmer” means an individual or entity that owns, leases, manages, occupies, cultivates, or otherwise has lawful control or authorized use of agricultural land registered or intended to be registered on the Platform.
A Farmer may participate in agricultural management, regenerative agriculture, carbon projects, farm mapping, environmental programmes, or other services provided through SOC Vibo Africa.
“Landowner” means an individual, company, institution, community, trust, estate, cooperative, or other legally recognized person or entity holding lawful ownership or recognized rights over land.
A Landowner may be different from the Farmer where the land is leased, managed, shared, or otherwise operated by another person.
“Farm” means a defined area of agricultural or potentially agricultural land registered, mapped, assessed, monitored, or managed through the Platform.
A Farm may consist of one or more parcels, fields, plots, sections, or agricultural production areas.
“Farm Mapping” means the process of identifying, measuring, recording, and digitally representing the geographical boundaries and relevant characteristics of a Farm using approved mapping technologies, satellite imagery, GPS, field measurements, photographs, artificial intelligence tools, or other approved methods.
Farm Mapping may include the identification of farm boundaries, acreage, field sections, trees, crops, land-use characteristics, soil-related information, conservation features, and other relevant information.
“Contractor” means an independent individual or organization authorized by SOC Vibo Africa to provide approved field, mapping, agricultural, data-collection, assessment, training, monitoring, or other services through the Platform.
A Contractor may be assigned or permitted to book specific Farms for field activities and may receive access to tools necessary to complete an assigned task.
“Contractor Dashboard” means the restricted area of the Platform through which an approved Contractor may view available Farm assignments, book Farms, access authorized mapping and AI tools, submit field information, upload supporting evidence, monitor assigned activities, and complete required field operations.
Access to the Contractor Dashboard and its tools may be restricted according to the Contractor's assignment, authorization level, location, qualifications, or current workload.
“Farmer Dashboard” means the restricted digital area of the Platform through which a Farmer may access information relating to their registered Farm or Farms, agricultural activities, field-management activities, carbon-related information, payments, reports, services, notifications, and other authorized features.
Certain tools may become unavailable to a Farmer once a particular stage of a Farm process has been completed or assigned to an authorized Contractor.
“AI Tools” means artificial intelligence, machine-learning, computer-vision, automated analysis, image-processing, satellite-data analysis, or other technology-enabled tools made available through the Platform.
AI Tools may assist with activities such as farm boundary identification, tree counting, land-use assessment, data analysis, mapping, monitoring, reporting, or other agricultural and environmental activities.
AI-generated or AI-assisted information may require human review, field verification, correction, or validation before it is treated as official project information.
“Field Operation” means any physical activity conducted on or relating to a Farm for purposes including mapping, data collection, verification, monitoring, agricultural assessment, soil assessment, tree counting, crop assessment, environmental assessment, farmer engagement, training, or other authorized activities.
“Farm Data” means information relating to a Farm or agricultural activity collected, submitted, generated, processed, or stored through the Platform.
Farm Data may include geographical coordinates, boundaries, acreage, photographs, videos, crop information, tree information, farming practices, soil information, production information, farmer declarations, field observations, environmental information, and other information required for an authorized purpose.
“Personal Data” means information relating to an identified or identifiable natural person, including information collected during registration, verification, communication, payment processing, field operations, or use of the Platform.
The collection, storage, processing, use, sharing, and protection of Personal Data shall be governed by applicable data-protection laws and SOC Vibo Africa's applicable privacy requirements.
“Project” means an agricultural, environmental, climate, carbon, conservation, regenerative-farming, community, or other initiative implemented, managed, facilitated, monitored, or supported through SOC Vibo Africa.
“Carbon Project” means a project designed to reduce, avoid, remove, or sequester greenhouse-gas emissions and potentially generate recognized carbon credits or other environmental benefits.
A Carbon Project may involve activities such as regenerative agriculture, agroforestry, improved soil management, tree planting, conservation agriculture, restoration, improved land management, or other eligible activities.
“Greenhouse Gas” or “GHG” means gases that contribute to the greenhouse effect and climate change, including carbon dioxide (CO₂), methane (CH₄), nitrous oxide (N₂O), and other gases recognized under applicable greenhouse-gas accounting standards.
“GHG Emissions” means greenhouse gases released into the atmosphere as a result of agricultural, land-use, energy, transport, livestock, fertilizer, waste, industrial, or other relevant activities.
“Carbon Sequestration” means the process through which carbon dioxide is captured and stored in biological, geological, soil, biomass, or other recognized carbon reservoirs.
“Carbon Credit” means a quantified and recognized unit representing a specified amount of greenhouse-gas emission reduction, avoidance, removal, or sequestration, generally expressed in tonnes of carbon dioxide equivalent (tCO₂e), and issued, recognized, transferred, retired, or otherwise managed under an applicable carbon standard, methodology, registry, programme, or legal framework.
“Carbon Removal” means the process of removing carbon dioxide from the atmosphere and storing it in a recognized carbon reservoir for a defined period, subject to applicable methodologies, standards, monitoring, and verification requirements.
“MRV” means Monitoring, Reporting and Verification.
MRV refers to the processes used to collect information, measure project performance, document activities, monitor changes, calculate relevant climate or environmental outcomes, prepare reports, and independently or otherwise verify reported results in accordance with applicable requirements.
“Validation” means the process of assessing whether a proposed project, activity, methodology, plan, or set of project documents meets applicable requirements before implementation or recognition.
“Verification” means the process of independently or otherwise assessing whether reported project activities, data, emission reductions, removals, or other claimed outcomes have occurred and have been accurately measured and reported in accordance with the applicable requirements.
“Carbon Registry” means an authorized or recognized system used to record, track, issue, transfer, hold, or retire carbon credits and associated project information.
“Carbon Buyer” means an individual, company, organization, institution, investor, intermediary, or other authorized party purchasing, acquiring, retiring, or otherwise obtaining carbon credits or associated environmental attributes.
“Project Developer” means a person or organization responsible for developing, coordinating, managing, financing, implementing, or supporting a Carbon Project or other environmental project.
“Regenerative Agriculture” means agricultural practices intended to improve soil health, biodiversity, water management, ecosystem function, farm resilience, and long-term agricultural productivity while potentially contributing to greenhouse-gas reduction or carbon sequestration.
Examples may include cover cropping, reduced soil disturbance, crop rotation, composting, agroforestry, mulching, improved grazing management, integrated nutrient management, and other recognized practices.
“Wallet” means the digital account associated with a User's Platform account through which eligible financial credits, payments, rewards, earnings, or other approved balances may be recorded and, where permitted, withdrawn or transferred.
“Payment” means any money, fee, commission, incentive, reward, compensation, reimbursement, project revenue, farmer earning, contractor payment, or other financial transaction processed or facilitated through the Platform.
“Platform Fees” means charges imposed for specific services, transactions, subscriptions, processing, field operations, mapping, project participation, training, or other services where such charges are applicable.
Any applicable fees shall be communicated to the relevant User before the applicable transaction is completed, unless otherwise agreed in writing.
“Authorized User” means a person who has been granted legitimate access to the Platform or a particular Platform function by SOC Vibo Africa.
Authorization may be limited to specific tools, Farms, projects, geographic areas, assignments, or periods.
“Confidential Information” means non-public information disclosed through the Platform or in connection with a User's participation in a project, including commercially sensitive information, project information, technical information, financial information, personal information, proprietary methods, business plans, and information expressly identified as confidential.
“Intellectual Property” includes copyrights, trademarks, logos, designs, software, databases, algorithms, methodologies, processes, documentation, trade secrets, inventions, data structures, content, graphics, photographs, videos, and other intellectual-property rights belonging to or licensed to SOC Vibo Africa or other authorized parties.
Unless the context requires otherwise:
a. headings are provided for convenience and shall not affect interpretation;
b. references to laws include amendments, replacements, regulations, and subsidiary legislation made under those laws;
c. references to a person include individuals, companies, partnerships, associations, organizations, institutions, government entities, and other legally recognized bodies;
d. “including” means including without limitation;
e. references to written communication include approved electronic communication;
f. references to the Platform include any successor, replacement, upgraded, or substantially similar system operated or authorized by SOC Vibo Africa; and
g. obligations imposed on a User under these Terms shall continue to apply where the nature of the obligation requires it to survive termination or suspension of the User's account.
Access to certain SOC Vibo Africa services requires the User to create and maintain an account on the Platform.
During registration, the User may be required to provide information including their full name, telephone number, email address, identification information, location, organization details, farm information, land-use information, payment information, or any other information reasonably required to establish and operate the account.
The User agrees that all information provided during registration shall be accurate, complete, current, and not misleading.
SOC Vibo Africa reserves the right to request additional information or documentation where necessary to verify the identity, authority, ownership, location, eligibility, or legitimacy of a User or a particular activity.
A User must meet the applicable eligibility requirements for the service they intend to use.
Where a service requires a particular qualification, authorization, age, professional capability, land interest, organizational status, or other requirement, SOC Vibo Africa may require evidence before granting access.
Where a person is registering on behalf of an organization, the person confirms that they have authority to represent that organization.
SOC Vibo Africa may refuse, restrict, suspend, or terminate access where it reasonably believes that a User does not meet the applicable requirements.
Users are responsible for the accuracy and completeness of all information submitted to the Platform.
A User must not knowingly submit:
Where a User discovers that previously submitted information is inaccurate, the User must notify SOC Vibo Africa and, where the Platform permits, correct the information.
Each User is responsible for protecting their account credentials, passwords, authentication codes, devices, and other security information.
Users must not share passwords, authentication codes, or account credentials with unauthorized persons.
A User must immediately notify SOC Vibo Africa if they suspect that their account has been accessed without authorization, their credentials have been compromised, or their account is being used by another person.
SOC Vibo Africa shall not be responsible for losses resulting from a User's failure to maintain reasonable security over their account credentials, except where such liability cannot lawfully be excluded.
Unless otherwise authorized by SOC Vibo Africa, an individual shall not create multiple accounts for the purpose of manipulating the Platform, obtaining duplicate benefits, circumventing restrictions, misleading other Users, or interfering with Platform operations.
Organizations may maintain organizational accounts where the Platform provides such functionality.
SOC Vibo Africa may merge, restrict, suspend, or terminate duplicate or fraudulent accounts.
SOC Vibo Africa may conduct identity, telephone, email, location, land, organization, payment, or other verification processes.
Verification may involve the submission of documents, photographs, GPS information, field visits, interviews, third-party confirmation, digital verification, or other reasonable methods.
Completion of verification does not necessarily constitute confirmation of ownership, legal title, carbon-credit eligibility, or any other legal right unless expressly stated by SOC Vibo Africa.
Users are responsible for obtaining and maintaining the devices, internet connection, electricity, software, and other resources required to access the Platform.
SOC Vibo Africa is not responsible for interruptions caused solely by a User's device, internet service provider, telecommunications provider, electricity supply, or other infrastructure outside the reasonable control of SOC Vibo Africa.
Users shall use the Platform only for lawful and authorized purposes.
A User shall not use the Platform to commit fraud, impersonation, theft, harassment, unauthorized data collection, cyber abuse, money laundering, corruption, manipulation of carbon data, falsification of Farm information, or any other unlawful activity.
Users shall comply with all applicable laws, regulations, standards, permits, licenses, contractual obligations, and professional requirements relevant to their activities.
Users must not attempt to access accounts, Farms, projects, dashboards, databases, AI tools, payment information, administrative systems, or other Platform functions for which they have not been authorized.
A User must not attempt to bypass access controls, manipulate permissions, exploit vulnerabilities, reverse engineer security measures, or interfere with the operation of the Platform.
Users shall interact with other Users, Contractors, Farmers, employees, representatives, project partners, and service providers respectfully and professionally.
Users shall not use the Platform to threaten, intimidate, discriminate against, harass, exploit, defraud, or otherwise abuse another person.
Any User who engages in serious misconduct may have their access restricted or terminated.
A User shall not submit another person's personal information, Farm information, photographs, identification documents, land information, financial information, or other protected information without lawful authority or appropriate consent.
Where a User is authorized to collect information on behalf of another person, the User shall ensure that the collection and submission are carried out lawfully and for an authorized purpose.
Users remain responsible for information, documents, photographs, videos, reports, Farm records, field observations, comments, or other content they submit to the Platform.
By submitting such information, the User represents that they have the necessary rights, authority, permissions, and consent to provide it.
SOC Vibo Africa may reject, remove, correct, restrict, or request clarification regarding information that appears inaccurate, unlawful, fraudulent, unsafe, irrelevant, or inconsistent with applicable project requirements.
Where AI Tools are provided to a User, the User acknowledges that AI-generated results may contain errors, omissions, inaccuracies, or misinterpretations.
AI Tools are intended to support authorized activities and shall not automatically replace required human judgment, field inspection, professional assessment, validation, or verification.
Users must not deliberately manipulate images, data, field information, or other inputs for the purpose of causing an AI Tool to produce a false result.
A Farmer or other person responsible for a Farm must ensure that authorized Contractors and field personnel are permitted to access the relevant Farm when a legitimate field activity has been booked or approved.
The person responsible for the Farm must provide reasonable cooperation during mapping, measurement, monitoring, verification, or other authorized field activities.
Where access cannot be provided, the User should notify SOC Vibo Africa as soon as reasonably possible.
SOC Vibo Africa shall make reasonable efforts to maintain the Platform and its services but does not guarantee that the Platform will always be available, uninterrupted, error-free, or compatible with every device or network.
SOC Vibo Africa may temporarily suspend Platform functionality for maintenance, upgrades, security measures, investigations, system improvements, emergencies, or other operational reasons.
Before confirming a transaction, booking, payment, service request, Farm submission, or other action, the User is responsible for reviewing the information displayed and ensuring that it is correct.
Once a transaction or submission has been processed, cancellation, modification, reversal, or refund shall be subject to the applicable service terms and circumstances of the transaction.
Users shall not sell, lease, lend, transfer, assign, or otherwise give control of their Platform account to another person without the prior authorization of SOC Vibo Africa.
Where a User's account is linked to a Farm, project, carbon activity, payment account, or other regulated information, unauthorized transfer may result in suspension or termination.
Users shall comply with reasonable instructions issued by SOC Vibo Africa concerning Farm mapping, field activities, data collection, verification, monitoring, safety, carbon-project requirements, payment procedures, and Platform security.
Failure to comply may delay a service, prevent completion of a project stage, affect eligibility for certain benefits, or result in suspension of access.
Users are encouraged to report suspected fraud, manipulation, unauthorized access, harassment, inaccurate Farm information, misuse of AI Tools, corruption of field records, payment irregularities, or other serious violations through the appropriate SOC Vibo Africa support or reporting channels.
SOC Vibo Africa may investigate reported concerns and take appropriate action based on the information available.
Users shall not deliberately circumvent SOC Vibo Africa's Platform, payment systems, verification procedures, Contractor allocation processes, carbon-project processes, or other controls for the purpose of avoiding applicable fees, obtaining unauthorized benefits, concealing transactions, or depriving SOC Vibo Africa or another authorized party of contractual rights.
Where SOC Vibo Africa reasonably determines that a User has breached these Terms, the Company may take appropriate action, including issuing a warning, requesting corrective action, restricting access to specific tools, suspending an account, removing submitted information, cancelling an assignment, withholding processing of a disputed transaction where legally permitted, or terminating the User's account.
Where the conduct may constitute unlawful activity, SOC Vibo Africa may also cooperate with relevant authorities where legally required or reasonably necessary.
Termination or suspension of a User account does not automatically release the User from obligations that arose before termination.
Obligations relating to confidentiality, data protection, intellectual property, payment obligations, fraud, disputes, indemnification, and other provisions that by their nature are intended to continue shall remain effective after suspension or termination.
A Farmer or authorized Landowner may register a Farm on the SOC Vibo Africa Platform for purposes of agricultural management, field monitoring, environmental programmes, carbon-project participation, farm assessment, or other approved services.
Farm registration does not automatically mean that the Farm has been accepted into a Carbon Project or that the Farm is eligible to generate carbon credits.
Registration is the initial process through which information about the Farm is submitted for assessment, mapping, verification, and potential participation in applicable programmes.
Only a person with lawful ownership, lawful possession, recognized management rights, leasehold rights, or appropriate authorization may register a Farm.
Where the person registering a Farm is not the legal owner of the land, that person must have the necessary authority from the Landowner or other person legally entitled to grant such permission.
SOC Vibo Africa may request evidence of ownership, occupation, lease, management rights, consent, or other lawful authority where reasonably necessary.
The Farmer or authorized representative may be required to provide information including:
The information required may vary depending on the purpose for which the Farm is being registered.
The Farmer is responsible for ensuring that information submitted concerning the Farm is truthful and accurate to the best of their knowledge.
A Farmer must not deliberately provide false acreage, false boundaries, duplicate Farms, fictitious Farms, inaccurate ownership information, fabricated agricultural practices, or manipulated field evidence.
Where a Farmer knowingly provides false information that affects a Carbon Project, payment, verification process, or another User's rights, SOC Vibo Africa may suspend the Farm and take further action in accordance with these Terms and applicable law.
Farm Mapping may be carried out using a combination of digital and physical methods.
These may include GPS devices, mobile devices, satellite imagery, aerial imagery where available, artificial intelligence, computer vision, field measurements, photographs, physical inspection, farmer-provided information, and other approved technologies.
The objective of Farm Mapping is to establish a reliable digital representation of the Farm and its relevant characteristics.
The Farmer or authorized representative shall provide reasonable assistance in identifying the actual boundaries of the Farm.
Where physical mapping is undertaken, the Contractor or authorized field personnel may collect GPS coordinates and other information required to create the digital Farm boundary.
The Farmer acknowledges that mapped boundaries are intended to represent the area identified during the mapping process and do not, by themselves, constitute legal proof of land ownership or title.
SOC Vibo Africa may use AI Tools to assist with identifying Farm boundaries, estimating acreage, identifying trees, analyzing imagery, identifying land-use patterns, or performing other mapping-related functions.
AI-generated results may be treated as preliminary information until reviewed or verified through an appropriate process.
Where the AI Tool produces an inaccurate result, the Farmer, Contractor, or authorized field officer may be required to provide additional information, conduct a field review, or correct the relevant information.
Where a Farmer requires assistance with Farm Mapping, an authorized Contractor may be assigned or booked to conduct the mapping activity.
The Contractor may access the relevant Farm information and authorized AI and mapping tools solely for purposes of completing the assigned task.
Contractors shall not use Farm information for unrelated purposes, disclose it to unauthorized persons, copy it for personal use, or retain it beyond the period and purpose authorized by SOC Vibo Africa.
Where the Platform uses a Farm-booking system, Contractors may select or book available Farms for authorized field activities.
A Contractor shall only work on a Farm that they are authorized to access through the Platform or through a separate written authorization.
A Contractor shall not claim, reserve, manipulate, or interfere with Farm assignments for purposes of preventing another authorized Contractor from accessing available work.
Access to specialized AI and mapping tools may be linked to an active Farm assignment.
Once a Contractor submits the required Farm information and completes the applicable mapping activity, the completed Farm may no longer remain available in the Contractor's active work queue.
SOC Vibo Africa may automatically deactivate or restrict the Contractor's access to tools associated with that Farm once the relevant assignment has been completed.
The Contractor may regain access to applicable tools when they are authorized to work on another eligible Farm.
Once Farm Mapping is completed, the Contractor or authorized person shall submit the required information through the Platform.
The submission may include Farm boundaries, acreage, photographs, GPS information, tree counts, field observations, agricultural information, and other required records.
The submitting person must ensure that the information reflects the actual field activity conducted and must not knowingly submit fabricated or manipulated information.
SOC Vibo Africa may review Farm information submitted through the Platform.
The review may include automated checks, AI-assisted analysis, human review, comparison with satellite imagery, field verification, document review, data-quality checks, or other appropriate methods.
SOC Vibo Africa may request corrections or additional information where submitted data is incomplete, inconsistent, suspicious, or insufficient for the intended purpose.
A Farm may be subject to verification before being accepted into a particular project or service.
Verification may involve confirming the Farm's location, boundaries, agricultural activities, ownership or management rights, historical information, environmental characteristics, or other relevant information.
Verification does not necessarily guarantee that the Farm will qualify for a Carbon Project or generate carbon credits.
A User must not register the same Farm multiple times for the purpose of receiving duplicate benefits, obtaining multiple payments, generating duplicate carbon claims, or manipulating Platform records.
Where duplicate registrations are identified, SOC Vibo Africa may consolidate, reject, suspend, or remove the duplicate records.
Where a Farm is jointly owned, jointly managed, leased, shared, or operated by multiple persons, the persons involved are responsible for establishing the authority under which the Farm is registered.
SOC Vibo Africa may require evidence of consent or authorization before accepting instructions affecting the Farm, project participation, payments, or carbon-related rights.
Farmers must notify SOC Vibo Africa of material changes affecting a registered Farm.
Such changes may include:
SOC Vibo Africa may temporarily restrict affected activities while the change is reviewed.
A Farmer participating in a field-based service agrees to provide reasonable access to the relevant Farm to authorized personnel at agreed or reasonably notified times.
Field visits may be required for mapping, monitoring, verification, data collection, training, carbon assessment, project implementation, or quality assurance.
Where access is refused without reasonable justification, SOC Vibo Africa may be unable to complete the relevant service.
All Contractors and field personnel must conduct field activities in a safe and professional manner.
Farmers must disclose known hazards that could reasonably affect field personnel, including dangerous animals, unsafe structures, hazardous terrain, restricted areas, or other material risks.
Contractors must also follow applicable safety instructions and must not enter areas where doing so would create an unreasonable risk.
The digital mapping of a Farm, the recording of GPS coordinates, the calculation of acreage, or the creation of a digital Farm profile does not constitute a land survey, title registration, legal conveyance, boundary adjudication, or legal determination of ownership.
Any dispute concerning land ownership, legal title, inheritance, tenancy, boundaries, or land rights remains subject to the applicable legal and administrative processes.
SOC Vibo Africa may suspend affected Farm activities where a material land dispute could affect the integrity of the Platform or a Carbon Project.
Farm information is fundamental to agricultural monitoring and Carbon Project development.
Users therefore acknowledge that inaccurate Farm Data may affect measurements, GHG calculations, carbon-storage estimates, project reports, verification outcomes, and potentially the issuance or validity of carbon credits.
Any deliberate manipulation of Farm Data may therefore constitute a serious breach of these Terms.
SOC Vibo Africa may determine whether a Farm is accepted for a particular service or Project based on applicable eligibility criteria, data quality, mapping results, verification requirements, project methodology, geographical requirements, legal requirements, and other relevant factors.
Registration alone does not create an unconditional right to participate in any specific Project or receive any payment.
SOC Vibo Africa may refuse, suspend, restrict, or remove a Farm from a particular service or Project where:
a. the Farm information is materially inaccurate;
b. ownership or management rights cannot reasonably be established;
c. the Farm appears to have been registered fraudulently;
d. the Farm duplicates another registered Farm;
e. the Farm does not meet project eligibility requirements;
f. access for required field activities is repeatedly denied;
g. there is a material dispute affecting the Farm;
h. required documentation is not provided;
i. the Farm is being used for an unlawful purpose; or
j. continued participation could compromise the integrity of a Project, carbon claim, payment process, or Platform.
A Farm Mapping assignment shall be considered complete when the required mapping information has been collected and submitted through the applicable Platform process, subject to subsequent review, correction, verification, or validation.
Completion of mapping does not necessarily mean that the Farm has completed all requirements for agricultural management, Carbon Project participation, carbon-credit issuance, or verification.
Farm Mapping may be an initial stage rather than a one-time activity.
SOC Vibo Africa or an authorized Project may require subsequent monitoring, reassessment, field visits, satellite analysis, data updates, or verification to determine changes in Farm conditions and project performance.
Farmers and other relevant Users agree to cooperate with reasonable monitoring requirements applicable to their participation.
SOC Vibo Africa may engage, approve, onboard, or authorize independent Contractors to perform specific services through the Platform.
Such services may include Farm Mapping, field data collection, tree counting, boundary identification, agricultural assessments, monitoring, farmer training, verification support, environmental assessments, documentation, and other approved field activities.
A Contractor's authorization shall be limited to the services, assignments, geographic areas, Farms, projects, and tools for which the Contractor has been approved.
Unless expressly stated in a separate written agreement, a Contractor is an independent service provider and not an employee, partner, agent, or legal representative of SOC Vibo Africa.
A Contractor shall be responsible for their own taxes, licenses, professional requirements, equipment, transportation, insurance, and other obligations applicable to their activities, except where otherwise expressly agreed.
Nothing on the Platform shall be interpreted as creating an employment relationship between SOC Vibo Africa and a Contractor merely because the Contractor receives assignments through the Platform.
Before receiving access to Contractor services, a person may be required to complete an onboarding process.
The process may include identity verification, qualification checks, interviews, training, practical assessments, documentation, background checks where lawful and appropriate, and acceptance of additional Contractor terms.
SOC Vibo Africa may determine the level of access granted to a Contractor based on qualifications, training, performance, location, experience, project requirements, and other relevant considerations.
Approved Contractors may receive access to a dedicated Contractor Dashboard.
The Dashboard may display available Farm assignments, booked Farms, field tasks, mapping tools, AI Tools, submission requirements, training materials, notifications, payment information, and other authorized functions.
Information displayed on the Dashboard is intended only for the Contractor's authorized work.
A Contractor shall not copy, distribute, sell, disclose, or otherwise misuse Dashboard information.
Where the Platform provides a booking mechanism, a Contractor may select and book an available Farm for an authorized field assignment.
A booking does not give the Contractor ownership, tenancy, management rights, or any other interest in the Farm.
The Contractor's access is strictly limited to performing the authorized assignment.
By accepting or booking an assignment, the Contractor agrees to complete the assignment in accordance with the applicable instructions, standards, timelines, data requirements, safety procedures, and professional expectations.
A Contractor must not accept an assignment that they know they are unable to complete properly.
Where circumstances prevent completion, the Contractor must notify SOC Vibo Africa through the appropriate channel as soon as reasonably possible.
SOC Vibo Africa may provide Contractors with specialized tools required for their assignments.
These may include:
Access may be temporary and may automatically change according to the Contractor's active assignment.
Where AI Tools are linked to Farm assignments, the Contractor may only use those tools for the Farm currently assigned to them.
Once the Contractor submits the required Farm information and completes the applicable assignment, access to the AI Tools associated with that Farm may be removed or deactivated.
The tools may become available again when the Contractor books or receives authorization for another eligible Farm.
This system is intended to protect Farm Data, prevent unauthorized access, maintain data integrity, and ensure that Contractors only access information necessary for their current work.
Contractors shall conduct field activities honestly, professionally, respectfully, and in accordance with applicable laws and Platform procedures.
A Contractor shall not:
a. falsify field information;
b. fabricate Farm visits;
c. submit photographs from another Farm;
d. manipulate GPS coordinates;
e. deliberately alter Farm boundaries;
f. inflate or reduce acreage without reasonable basis;
g. fabricate tree counts or other measurements;
h. submit AI-generated information as if it were personally verified when verification is required;
i. collect information unrelated to the assignment;
j. use Farmer information for personal purposes;
k. demand unauthorized payments from Farmers;
l. harass, intimidate, or exploit Farmers;
m. disclose confidential Farm information; or
n. undertake activities outside the scope of the assignment without authorization.
Contractors must treat Farmers and Landowners with professionalism and respect.
Before commencing a physical field activity, the Contractor should identify themselves and explain the general purpose of the visit where reasonably practicable.
Contractors shall not make false promises concerning carbon-credit income, Farm payments, employment, investment returns, guaranteed carbon-credit issuance, or other benefits.
A Contractor must not demand, collect, solicit, or receive unauthorized money, goods, services, commissions, gifts, or other benefits from a Farmer in exchange for performing an assignment or providing access to Platform services.
Where a service requires a Farmer payment, the payment must be made through the approved payment process unless SOC Vibo Africa expressly authorizes another method.
Depending on the assignment, Contractors may be required to collect evidence including photographs, videos, GPS points, Farm boundaries, measurements, field observations, Farmer declarations, or other documentation.
Evidence must be genuine and must correspond to the Farm and activity being reported.
A Contractor must not knowingly submit evidence that has been manipulated in a manner that misrepresents the actual Farm condition or field activity.
Where the Platform records the time, date, location, or other metadata associated with field activities, Contractors shall not intentionally manipulate or falsify such information.
SOC Vibo Africa may use technical information and metadata for quality assurance, fraud detection, project monitoring, and verification.
A Contractor shall submit completed field information through the designated Platform process.
The Contractor should review submissions for obvious errors before final submission.
Once submitted, information may be locked, transferred for review, removed from the Contractor's active Dashboard, or otherwise processed according to the applicable workflow.
Where a submitted record contains an error, SOC Vibo Africa may return the assignment to the Contractor for correction or request additional information.
The Contractor must not independently alter finalized information outside the authorized correction process.
Where a correction is made, the Contractor may be required to provide an explanation or supporting evidence.
SOC Vibo Africa may conduct quality-control checks on Contractor submissions.
Quality control may include automated data checks, AI-assisted analysis, comparison with satellite imagery, review of photographs, review of GPS information, field re-inspection, statistical checks, or independent verification.
A Contractor's submission may be rejected or returned where it does not meet the applicable quality requirements.
SOC Vibo Africa may take corrective action where a Contractor repeatedly submits incomplete, inaccurate, delayed, or poor-quality work.
Corrective action may include additional training, increased supervision, temporary restriction of assignments, removal of specific tools, suspension, or termination of Contractor access.
Fraudulent field activities constitute a serious breach of these Terms.
Examples include falsely claiming to have visited a Farm, creating false Farm boundaries, inventing measurements, submitting photographs belonging to another Farm, manipulating tree counts, falsifying Farmer declarations, or deliberately providing false information for the purpose of obtaining payment or influencing a Carbon Project.
SOC Vibo Africa may investigate suspected fraud and may suspend affected assignments or accounts while the investigation is conducted.
Unless otherwise agreed, Contractors are responsible for maintaining the equipment necessary to perform their assignments.
Such equipment may include smartphones, GPS-enabled devices, internet access, protective equipment, measuring equipment, transportation, and other field resources.
SOC Vibo Africa may specify minimum technical requirements for equipment used for particular assignments.
Contractors are responsible for exercising reasonable care during field operations.
Contractors should assess foreseeable risks associated with terrain, weather, livestock, roads, water bodies, agricultural machinery, chemicals, buildings, vegetation, and other field conditions.
Where a Contractor reasonably believes that a field activity is unsafe, the Contractor should stop the activity and notify SOC Vibo Africa.
No Contractor is required to knowingly undertake an activity that presents an unreasonable risk of serious injury.
Farmers are expected to provide reasonable cooperation during authorized field operations.
This may include providing access to the Farm, identifying boundaries, answering relevant questions, explaining farming practices, providing supporting information, and facilitating reasonable field activities.
Farmers must not intentionally obstruct, threaten, deceive, or interfere with authorized Contractors.
Contractors may receive access to confidential Farm, Farmer, project, commercial, technical, or carbon-related information.
Such information must only be used for the authorized assignment.
Contractors must not retain, copy, publish, sell, transfer, disclose, or use confidential information for personal benefit or for the benefit of an unauthorized third party.
A Contractor must not use access obtained through SOC Vibo Africa to establish an unauthorized private arrangement with a Farmer for the purpose of diverting Farm business, carbon-project opportunities, payments, data, or other services away from the Platform.
Any separate arrangement between a Contractor and Farmer must be lawful and must not circumvent an existing SOC Vibo Africa agreement or project requirement.
Where Contractors are entitled to compensation for completed assignments, payments shall be made according to the applicable Contractor agreement, assignment terms, approved rates, performance requirements, and payment procedures.
Completion of a field visit alone does not necessarily create an unconditional entitlement to payment where required information has not been submitted or where the work is rejected for material non-compliance.
Contractors are responsible for complying with applicable tax and statutory obligations arising from payments received for their services, unless a specific written arrangement provides otherwise.
SOC Vibo Africa may make legally required deductions or withholdings where applicable.
SOC Vibo Africa may temporarily suspend a Contractor's access where there is a reasonable concern relating to:
Where appropriate, SOC Vibo Africa may provide the Contractor with an opportunity to respond to the concerns before a final decision is made.
SOC Vibo Africa may terminate a Contractor's authorization where the Contractor materially breaches these Terms, repeatedly fails to meet required standards, engages in fraud or misconduct, compromises Platform security, misuses Farm Data, or otherwise acts in a manner that could materially harm Farmers, Projects, SOC Vibo Africa, or the integrity of the Platform.
Termination of access does not prevent SOC Vibo Africa from pursuing any other rights or remedies available under applicable law or agreement.
Upon completion, suspension, or termination of an assignment, Contractors must cease accessing Farm information associated with that assignment and return, delete, or securely dispose of information where required by SOC Vibo Africa, except where retention is legally required.
Being approved as a Contractor does not guarantee a minimum number of assignments, income, Farm bookings, or future work opportunities.
The availability of assignments may depend on Farm registrations, geographic location, project requirements, Farmer demand, Contractor performance, project funding, and other factors.
The Contractor's obligations relating to confidentiality, data protection, intellectual property, fraud, unauthorized use of Farm Data, payment disputes, and other obligations intended by their nature to continue shall survive the completion or termination of an assignment or Contractor relationship.
A Farmer may participate in SOC Vibo Africa programmes relating to farm management, agricultural productivity, regenerative agriculture, environmental conservation, greenhouse-gas management, carbon projects, monitoring, training, and other approved activities.
Participation may be voluntary or may be subject to specific project requirements, agreements, eligibility criteria, or contractual conditions.
Registration on the Platform does not by itself guarantee participation in every programme offered through SOC Vibo Africa.
The Farmer remains responsible for the management and day-to-day operation of their Farm unless a separate agreement provides otherwise.
SOC Vibo Africa, its Contractors, or other service providers may provide technical guidance, digital tools, monitoring, training, mapping, or other support, but such services do not automatically transfer responsibility for the Farm to SOC Vibo Africa.
The Farmer remains responsible for decisions concerning planting, harvesting, livestock, fertilizer use, irrigation, pest management, land preparation, Farm access, and other agricultural activities unless otherwise agreed.
SOC Vibo Africa may recommend agricultural, environmental, soil-health, climate-smart, or regenerative practices based on Farm conditions, project requirements, technical assessments, or applicable methodologies.
Recommendations may include:
A recommendation does not constitute a guarantee of increased yield, income, carbon removal, or other financial benefit.
Except where a Farmer has voluntarily entered into a project agreement containing specific obligations, the Farmer retains control over ordinary agricultural decisions concerning their Farm.
However, where the Farmer chooses to participate in a Carbon Project or other programme requiring specific practices, the Farmer may be required to implement and maintain agreed practices for the duration of the relevant project period.
Farmers participating in agricultural monitoring or Carbon Projects may be required to provide accurate information about their farming practices.
Such information may include the type of crops grown, planting dates, harvest information, fertilizer use, manure application, irrigation, tillage, residue management, livestock activities, tree management, land-use changes, and other relevant activities.
Farmers must not deliberately provide false information intended to increase reported environmental benefits or carbon outcomes.
SOC Vibo Africa may require Farmers to provide evidence of agricultural practices.
Evidence may include photographs, videos, Farm records, receipts, input records, planting records, harvest records, field observations, GPS information, declarations, or other approved documentation.
Where evidence is required for a Carbon Project, the Farmer acknowledges that such evidence may be used in monitoring, reporting, verification, audit, or certification processes.
Where a Farmer participates in a regenerative agriculture programme, the Farmer may be required to implement agreed practices designed to improve soil health, biodiversity, water retention, ecosystem function, Farm resilience, or carbon storage.
The specific practices applicable to a Farm may depend on local conditions, project methodology, crop type, soil characteristics, climate, available resources, and project requirements.
A Farmer participating in a project shall not deliberately discontinue, materially alter, or reverse agreed project practices where doing so could affect project eligibility, monitoring results, carbon calculations, or contractual obligations without notifying SOC Vibo Africa or the relevant Project Manager.
Farmers are encouraged to communicate practical challenges early so that alternative measures or corrective actions can be considered.
SOC Vibo Africa may provide or facilitate training concerning Farm Management, regenerative agriculture, carbon farming, GHG management, environmental conservation, Farm Data collection, monitoring, or other relevant subjects.
Training may be delivered physically, digitally, through Contractors, through partner organizations, or through other approved channels.
Attendance at training may be mandatory for participation in certain programmes.
Agriculture is affected by factors including weather, pests, diseases, soil conditions, market conditions, input availability, natural disasters, and other circumstances beyond the reasonable control of SOC Vibo Africa.
Accordingly, SOC Vibo Africa does not guarantee that participation in regenerative agriculture or other recommended practices will produce a particular yield, income, profit, carbon-removal quantity, or environmental result.
The Platform may provide Farmers with digital tools for managing information relating to their Farms.
These tools may include Farm records, field activities, mapping information, agricultural practices, monitoring results, carbon information, tasks, reports, notifications, and other Farm-management functions.
The Farmer is responsible for reviewing information displayed on the Farmer Dashboard and reporting material inaccuracies through the appropriate support channel.
A Farmer may be provided access to information associated with their registered Farm, subject to Platform functionality, project requirements, confidentiality obligations, and applicable data-protection requirements.
Certain information may be restricted where it contains confidential information belonging to another User, commercially sensitive information, proprietary methodologies, security-sensitive information, or information subject to legal restrictions.
Farmers participating in a project agree to reasonably cooperate with monitoring activities.
Monitoring may include:
Monitoring requirements may vary according to the nature of the project.
Where continued access to a Farm is necessary for monitoring, verification, auditing, or project implementation, the Farmer shall provide reasonable access in accordance with applicable notice requirements.
Repeated refusal to permit required monitoring may affect the Farmer's participation in a project.
A Farmer participating in a Carbon Project shall notify SOC Vibo Africa of material changes in land use that may affect project outcomes.
Such changes may include conversion of agricultural land, clearing of trees, major changes in Farm boundaries, sale or transfer of the Farm, significant changes in management, or other activities that could materially affect carbon or environmental claims.
Where tree planting, agroforestry, natural regeneration, or vegetation management forms part of a project, the Farmer shall provide accurate information regarding relevant trees and vegetation.
Where applicable, the Farmer may be required to support monitoring of tree survival, growth, harvesting, removal, replacement, or other changes.
Where project activities involve trees, soil carbon, conservation structures, Farm improvements, monitoring equipment, or other project assets, the Farmer shall take reasonable steps to protect such assets from intentional damage, unauthorized removal, or destruction.
This provision does not make the Farmer responsible for losses caused by circumstances genuinely beyond their reasonable control.
Where information concerning fertilizer, manure, pesticides, herbicides, fuel, or other agricultural inputs is required for GHG accounting, the Farmer shall provide information that is reasonably accurate.
Where applicable, Farmers should retain relevant records to support reported information.
SOC Vibo Africa may use such information in GHG calculations, project monitoring, and reporting.
Farmers remain responsible for following appropriate safety procedures when carrying out agricultural activities.
SOC Vibo Africa may provide safety guidance where relevant, but such guidance does not replace the Farmer's responsibility to comply with applicable agricultural, environmental, occupational, and chemical-safety requirements.
Farmers participating in environmental or Carbon Projects shall conduct their activities in accordance with applicable environmental laws and project requirements.
A Farmer shall not knowingly undertake activities that violate applicable environmental requirements or deliberately undermine an environmental or Carbon Project.
Where a Farmer enters into a Carbon Project agreement, the Farmer may be required to maintain specified agricultural or land-management practices for an agreed project period.
The specific commitments shall be communicated through the applicable project agreement or programme rules.
These commitments may include maintaining soil-management practices, protecting trees, implementing approved regenerative practices, maintaining records, permitting monitoring, and reporting material changes.
Participation in Farm Management, regenerative agriculture, or other environmental activities does not automatically entitle a Farmer to receive carbon credits or a specific financial payment.
Carbon-credit generation depends on applicable methodologies, eligibility requirements, baseline conditions, measured results, monitoring, validation, verification, registry requirements, market conditions, and other relevant factors.
Where a project generates revenue, incentives, carbon-credit proceeds, or other benefits for participating Farmers, the applicable benefit-sharing arrangement shall be communicated through the relevant project agreement or payment terms.
The existence of a Carbon Project does not guarantee a particular payment amount.
Farmers shall keep relevant Farm information reasonably current.
This includes material changes affecting contact information, Farm ownership or management, Farm boundaries, agricultural practices, project participation, or other information required for continued project participation.
Farmers may be required to cooperate with authorized verification bodies, auditors, project assessors, government authorities, standards organizations, or other authorized parties.
Such cooperation may include answering questions, providing access to relevant records, permitting Farm inspections, confirming information, and facilitating reasonable verification activities.
Where a Farmer materially fails to comply with project requirements, SOC Vibo Africa may take appropriate action, including requesting corrective action, suspending project participation, withholding processing of affected project benefits where legally and contractually permitted, requiring additional monitoring, or terminating participation.
Any consequences relating specifically to carbon credits or project revenue shall also be subject to the applicable project agreement and carbon standard requirements.
Participation in SOC Vibo Africa programmes does not transfer ownership or control of the Farm to SOC Vibo Africa unless expressly provided under a separate legally binding agreement.
The Farmer retains their lawful rights over the Farm, subject to any specific contractual commitments voluntarily entered into for a particular Project.
Where a Farmer has made a contractual commitment to maintain specific practices for a defined project period, the Farmer acknowledges that changes to those practices may affect project measurements, GHG calculations, carbon-credit eligibility, or project revenue.
The Farmer therefore agrees to notify SOC Vibo Africa before making material changes where notification is required under the relevant project agreement.
SOC Vibo Africa does not guarantee that a Farmer will receive carbon income, a specific carbon-credit quantity, a specific carbon-credit price, or a particular annual payment.
Any projected carbon benefits presented through the Platform are estimates unless and until the relevant results have been measured, verified, issued, and become payable under the applicable project arrangement.
Farmers participating in SOC Vibo Africa projects are expected to act honestly and in good faith.
A Farmer shall not deliberately manipulate Farm information, conceal material land-use changes, fabricate agricultural practices, create duplicate Farm records, interfere with monitoring, or otherwise engage in conduct intended to obtain an unfair financial, carbon, or Platform-related benefit.
SOC Vibo Africa may collect, receive, generate, process, store, analyze, and use information necessary to provide and improve its services.
Such information may include personal information, Farm Data, geographical information, agricultural records, photographs, videos, GPS coordinates, Farm boundaries, soil information, crop information, tree information, field observations, project information, transaction records, Contractor information, and technical information generated through use of the Platform.
The type and amount of information collected shall depend on the services used by the User and the requirements of the relevant Project.
SOC Vibo Africa shall collect and process information for legitimate and authorized purposes, which may include:
a. creating and managing User accounts;
b. registering and mapping Farms;
c. providing agricultural and Farm-management services;
d. conducting field operations;
e. providing AI-assisted analysis;
f. measuring and monitoring GHG emissions and carbon storage;
g. developing and managing Carbon Projects;
h. conducting Monitoring, Reporting and Verification;
i. communicating with Users;
j. processing payments;
k. preventing fraud and misuse;
l. maintaining Platform security;
m. improving Platform functionality;
n. conducting research and analysis where legally permitted;
o. complying with legal and regulatory requirements; and
p. performing other purposes communicated to the User or otherwise permitted by applicable law.
SOC Vibo Africa shall take reasonable and appropriate measures to protect Personal Data against unauthorized access, loss, misuse, alteration, disclosure, destruction, or other unlawful processing.
The processing of Personal Data shall be carried out in accordance with applicable data-protection laws and SOC Vibo Africa's applicable privacy policies.
Where consent is required by applicable law, SOC Vibo Africa may obtain the User's consent before collecting or processing the relevant information.
Certain information may, however, be processed on another lawful basis where permitted by applicable law, including where processing is necessary to perform a contract, comply with a legal obligation, protect legitimate interests, prevent fraud, maintain security, or perform another legally recognized function.
Users are responsible for providing accurate Personal Data and for updating material changes where the Platform provides the relevant functionality.
SOC Vibo Africa may rely on information provided by the User unless it has reasonable grounds to believe that the information is inaccurate or fraudulent.
Farm Data may include information that is directly or indirectly associated with a specific Farmer or Farm.
Such information may be necessary for mapping, agricultural management, project development, carbon calculations, monitoring, verification, reporting, or other authorized purposes.
The Farmer acknowledges that certain Farm Data may need to be shared with authorized Contractors, Project Developers, verification bodies, technical partners, carbon registries, buyers, regulators, or other authorized parties where necessary for the relevant service or Project.
Farm boundaries, GPS coordinates, satellite-derived information, mapped acreage, and other geographical information may be collected and processed for Farm management, monitoring, project development, verification, environmental analysis, and other authorized purposes.
The User acknowledges that geographical information may be necessary to establish the location and extent of a Farm and to prevent duplicate registration or fraudulent carbon claims.
Photographs and videos collected during Farm Mapping, field operations, training, monitoring, verification, or other authorized activities may be processed as part of Farm and Project records.
Where photographs or videos contain identifiable individuals, SOC Vibo Africa shall handle the relevant Personal Data in accordance with applicable data-protection requirements.
Users must not upload photographs or videos that they do not have the legal right or appropriate authorization to submit.
SOC Vibo Africa may use artificial intelligence and automated technologies to process approved Farm Data.
AI processing may be used for activities including:
AI outputs may be reviewed, corrected, or validated by humans before being used for important project decisions.
Users acknowledge that AI systems may produce incorrect or incomplete results.
An AI-generated Farm boundary, tree count, acreage estimate, carbon estimate, or other result shall not automatically be treated as a legally binding or final measurement unless it has passed the applicable review, verification, validation, or approval process.
Users must not deliberately manipulate inputs for the purpose of obtaining an inaccurate AI result.
Contractors may receive temporary access to information necessary to complete an assigned Farm or field activity.
Contractor access may be limited by Farm, assignment, location, role, or time period.
Once the assignment is completed, SOC Vibo Africa may automatically remove the Contractor's access to the relevant Farm and associated tools.
Where necessary for a Project, SOC Vibo Africa may provide relevant information to authorized Project Developers, technical service providers, verification organizations, auditors, carbon registries, government agencies, funding partners, carbon buyers, or other authorized entities.
Only information reasonably necessary for the relevant purpose should be shared, subject to applicable law and contractual requirements.
Farm Data may be used to establish baselines, calculate GHG emissions, estimate carbon storage, monitor project performance, prepare project documentation, support validation and verification, and meet requirements of applicable Carbon Projects.
Where a Project requires long-term monitoring, relevant data may need to be retained for the duration required by the Project, applicable methodology, carbon standard, registry, law, or contractual arrangement.
SOC Vibo Africa may use aggregated, statistical, anonymized, or otherwise de-identified information for purposes such as research, system improvement, reporting, environmental analysis, market analysis, planning, and development of agricultural or climate-related services, where permitted by applicable law.
Such information should not be used to identify an individual User where it has been properly anonymized.
Unless otherwise expressly agreed, a User retains the rights they legally hold in information and content that they submit to the Platform.
However, by using SOC Vibo Africa services, the User grants SOC Vibo Africa the permissions and rights reasonably necessary to host, process, analyze, reproduce, transmit, display, organize, and otherwise use the submitted information for the purposes for which the information was provided and for the operation of the relevant services.
Nothing in these Terms automatically transfers legal ownership of a User's land, Farm, crops, trees, or other physical property to SOC Vibo Africa.
SOC Vibo Africa retains rights in its Platform, software, databases, system architecture, algorithms, proprietary methodologies, interfaces, workflows, technical processes, and data generated through the operation of the Platform, subject to applicable law and the rights of Users and other third parties.
Platform Data may include system-generated information, technical logs, performance information, aggregated information, analytical outputs, and other information created through operation of the Platform.
Information relating to carbon measurements, GHG calculations, project performance, monitoring results, verification records, carbon-credit issuance, registry records, and other Carbon Project information may be subject to additional contractual, methodological, registry, or legal requirements.
A User's access to such information may therefore be subject to restrictions necessary to protect the integrity of the Project.
Users shall keep confidential information received through SOC Vibo Africa confidential and shall not disclose it to unauthorized persons.
Confidential information may include Farm information, Farmer information, commercial arrangements, carbon pricing, project documentation, technical information, Contractor information, business strategies, payment information, and non-public Platform information.
Confidentiality obligations shall not prevent disclosure where:
a. the information is already lawfully public;
b. the information was lawfully known to the recipient before disclosure;
c. the information is independently developed without use of confidential information;
d. disclosure is required by law or a competent authority;
e. disclosure is necessary for authorized Project implementation; or
f. the owner of the information has expressly authorized disclosure.
SOC Vibo Africa may implement reasonable technical, organizational, and administrative measures to protect information.
However, no digital system can be guaranteed to be completely secure.
Users acknowledge that they should use strong passwords, protect their devices, avoid sharing login credentials, and promptly report suspected unauthorized access.
Where SOC Vibo Africa becomes aware of a security incident involving Personal Data, it shall take reasonable steps to investigate, contain, mitigate, and respond to the incident in accordance with applicable law.
Where legally required, SOC Vibo Africa may notify affected Users, regulators, or other relevant parties.
SOC Vibo Africa may retain information for as long as reasonably necessary for the purposes for which it was collected, to comply with legal obligations, to resolve disputes, to maintain financial and project records, to support Carbon Project monitoring, or to meet applicable carbon-standard or registry requirements.
Retention periods may therefore differ depending on the type of information and service involved.
Where applicable law provides a User with a right to request deletion of Personal Data, the User may submit a request through the appropriate SOC Vibo Africa channel.
Deletion may be subject to legal, contractual, financial, regulatory, security, Carbon Project, or record-keeping requirements.
Information that is required to be retained may not be immediately deleted.
Where required by applicable law, Users may have rights to request access to certain Personal Data held by SOC Vibo Africa or request that eligible information be provided in an appropriate format.
Requests shall be handled in accordance with applicable law and SOC Vibo Africa's procedures.
The Platform may integrate with third-party services, including mapping providers, satellite-data providers, payment providers, identity-verification services, communication providers, cloud infrastructure providers, carbon registries, and other technical or project partners.
Where information is shared with a third-party service provider, SOC Vibo Africa shall take reasonable steps to ensure that the sharing is authorized and appropriately managed.
Payment information may be processed through approved payment providers.
SOC Vibo Africa may not directly control the security systems of external payment providers and shall not be responsible for failures caused solely by those providers, except to the extent liability cannot lawfully be excluded.
Users must ensure that payment information submitted through the Platform is accurate.
Users must not:
a. download or extract Farm Data for unauthorized purposes;
b. sell Farmer information without lawful authority;
c. create unauthorized databases from Platform information;
d. use GPS information to interfere with land rights or Farm security;
e. disclose private Farmer information;
f. use Farm Data to create fraudulent carbon claims;
g. scrape or systematically extract Platform information without authorization;
h. attempt to reverse engineer protected Platform systems; or
i. use Platform Data in a manner that violates applicable law or these Terms.
Where legally permitted and subject to applicable privacy requirements, SOC Vibo Africa may use appropriately aggregated, anonymized, or de-identified information to improve agricultural technology, carbon measurement, AI systems, Farm-management tools, environmental monitoring, and other services.
Users acknowledge that accurate data is essential to the operation of SOC Vibo Africa.
Deliberate alteration, fabrication, deletion, concealment, or manipulation of data may affect Farm records, agricultural decisions, GHG calculations, Carbon Project integrity, verification results, payments, and carbon-credit issuance.
Such conduct may therefore constitute a material breach of these Terms.
Closing or terminating a User account does not necessarily result in immediate deletion of all information associated with that account.
Information may continue to be retained where necessary to comply with legal obligations, contractual requirements, financial records, Carbon Project requirements, fraud prevention, dispute resolution, auditing, or other legitimate purposes.
The obligations concerning confidentiality, lawful use of data, protection of information, intellectual property, and restrictions on unauthorized disclosure shall continue after termination of a User's account where their nature requires continued protection.
SOC Vibo Africa may facilitate, develop, coordinate, manage, or support Carbon Projects involving Farmers, Landowners, CBOs, farmer groups, Contractors, Project Developers, investors, carbon-credit buyers, and other participants.
Participation in a Carbon Project may require the User to meet specific eligibility requirements and enter into additional project-specific agreements.
Registration on the Platform does not automatically constitute acceptance into a Carbon Project.
Carbon Projects may involve activities intended to:
a. reduce greenhouse-gas emissions;
b. avoid greenhouse-gas emissions;
c. remove carbon dioxide from the atmosphere;
d. increase carbon storage;
e. improve soil organic carbon;
f. increase tree and biomass carbon;
g. improve agricultural practices;
h. reduce emissions associated with agricultural inputs;
i. improve livestock or manure management;
j. promote agroforestry;
k. restore degraded land;
l. improve ecosystem management; or
m. achieve other recognized climate or environmental outcomes.
A Farm or Project may be assessed against applicable eligibility criteria.
Eligibility may depend on factors including geographical location, land-use history, Farm size, agricultural practices, baseline conditions, project methodology, legal requirements, environmental requirements, additionality requirements, monitoring requirements, and other applicable conditions.
Meeting preliminary eligibility requirements does not guarantee validation, verification, certification, issuance of carbon credits, or payment.
Where required, a Carbon Project may establish a baseline representing the emissions, carbon stocks, land-management conditions, or other relevant conditions that would exist in the absence of the Project.
Baseline information may be developed using Farm Data, historical records, field measurements, satellite information, approved models, published data, project methodologies, or other recognized sources.
SOC Vibo Africa may collect and process information required to estimate or measure greenhouse-gas emissions associated with participating Farms.
Relevant sources may include fertilizer use, manure management, livestock, fuel use, energy consumption, crop production, residue management, land-use activities, transport, and other relevant sources depending on the Project.
Where a Project involves carbon sequestration or storage, SOC Vibo Africa may assess carbon stored in relevant reservoirs.
These may include:
The applicable carbon pools shall depend on the Project methodology and applicable standards.
Where applicable, the Project may use the principle that the net climate benefit is determined by comparing relevant emissions against measured or recognized carbon storage and other applicable project adjustments.
A simplified project-level representation may be expressed as:
Net GHG Balance = GHG Emissions − Carbon Stored
The actual calculation may be more detailed and may include baseline emissions, project emissions, leakage, uncertainty deductions, permanence considerations, and other adjustments required by the applicable methodology or carbon standard.
Information displayed through the Platform concerning carbon storage, GHG reductions, carbon removal, or potential carbon credits may be an estimate unless expressly identified as verified or issued.
Estimates may change as additional Farm Data becomes available, methodologies are applied, monitoring is conducted, verification is completed, or project conditions change.
Users must not represent preliminary estimates as verified carbon credits.
Where a Project qualifies to generate carbon credits, the relevant credits may generally be expressed in tonnes of carbon dioxide equivalent (tCO₂e).
One carbon credit may represent one tonne of carbon dioxide equivalent of verified emission reduction, avoidance, or removal, subject to the applicable standard, methodology, registry, and project requirements.
Farm participation, tree planting, adoption of regenerative agriculture, Farm Mapping, or completion of field activities does not automatically create a carbon credit.
Carbon credits may only be generated where the applicable Project satisfies the requirements of the relevant carbon standard, methodology, validation, monitoring, verification, registry, and issuance processes.
Where applicable, the Project may be required to demonstrate that the claimed climate benefits are additional to what would have occurred without the Project.
The assessment of additionality shall be conducted in accordance with the applicable methodology or standard.
SOC Vibo Africa does not guarantee that a particular Farm or activity will satisfy additionality requirements.
Where carbon removal or storage is claimed, the Project may be subject to permanence requirements.
Participants may therefore be required to maintain relevant carbon-storage activities for a specified period.
Unplanned reversal of carbon storage, such as unauthorized tree removal, land-use conversion, fire, or other events, may affect the Project's carbon accounting and may trigger applicable reversal-management or compensation requirements.
A Carbon Project may consider leakage where project activities cause emissions or land-use changes to occur outside the defined Project area.
Where required, leakage may be assessed and accounted for according to the applicable methodology.
Carbon calculations may contain uncertainty arising from measurements, sampling, models, estimates, Farm Data, satellite information, and other sources.
Applicable methodologies may require uncertainty deductions or conservative assumptions.
Users acknowledge that initial estimates may therefore differ from final verified results.
Carbon Projects may be subject to Monitoring, Reporting and Verification (“MRV”).
Monitoring may involve continuous or periodic collection of information relating to Farm practices, carbon stocks, emissions, tree survival, soil conditions, land use, or other relevant indicators.
Reports may be prepared based on collected information and submitted for applicable verification.
Where required, Project results may be reviewed by an independent validation or verification body.
SOC Vibo Africa does not control the final determination of an independent verification body.
A verification body may accept, reject, modify, or request additional evidence concerning project results.
A Carbon Project may be developed under a recognized carbon standard, methodology, programme, registry, or other applicable framework.
The applicable standard or methodology may determine requirements concerning eligibility, baseline setting, additionality, monitoring, carbon calculations, permanence, leakage, uncertainty, verification, issuance, and retirement.
Where applicable, carbon credits may be recorded in an authorized carbon registry.
Registry requirements may include identification of the Project, issuance of credits, ownership records, transfers, retirement, cancellation, and other transactions.
SOC Vibo Africa may work with relevant registries or authorized partners as necessary for Project implementation.
Ownership and entitlement to carbon credits shall be determined by the applicable Carbon Project agreement, land rights, project structure, applicable law, carbon standard, registry requirements, and any revenue-sharing or transfer arrangements entered into by the relevant parties.
Farm registration alone does not automatically establish ownership of carbon credits.
Where a Project involves the generation or transfer of carbon credits, participants may be required to grant specific rights relating to the measurement, development, registration, sale, transfer, retirement, or other management of carbon credits or environmental attributes.
The scope and duration of such rights shall be established in the applicable Project agreement.
Carbon credits may only be considered issued where the relevant authorized process has been completed and the credits have been formally recorded in the applicable registry or system.
A projected, estimated, calculated, or pending carbon quantity shall not be represented as an issued carbon credit.
Where carbon credits are generated and available for sale, SOC Vibo Africa or an authorized Project Developer may facilitate or participate in the sale, transfer, brokerage, marketing, or retirement of such credits in accordance with the applicable Project agreement.
The sale price may vary based on market conditions, credit characteristics, standard, project type, buyer requirements, vintage, location, co-benefits, and other factors.
SOC Vibo Africa does not guarantee a particular carbon-credit price.
Carbon-credit prices may fluctuate due to supply and demand, regulatory developments, buyer preferences, market conditions, project characteristics, and other factors.
Where carbon-credit revenue is generated, the distribution of proceeds between Farmers, Landowners, Project Developers, SOC Vibo Africa, Contractors, investors, communities, or other parties shall be determined by the applicable Project agreement or revenue-sharing arrangement.
No User shall assume a particular percentage or payment unless it has been expressly agreed.
Carbon-credit Buyers may impose requirements concerning Project quality, documentation, environmental integrity, social safeguards, certification, verification, traceability, additionality, permanence, or other characteristics.
SOC Vibo Africa may communicate such requirements to participating Users where they affect Project participation.
Users must not knowingly claim the same emission reduction, carbon removal, or carbon storage outcome under multiple Carbon Projects, programmes, standards, registries, or buyers.
SOC Vibo Africa may implement controls to identify and prevent duplicate Farm registration, overlapping claims, or double counting.
A User shall not sell, transfer, promise, assign, pledge, or otherwise dispose of the same carbon credit or environmental attribute to more than one party.
Any attempt to do so may constitute fraud and may result in suspension, termination, reversal of transactions, or other legal action.
A Farmer participating in a Carbon Project must notify SOC Vibo Africa of material changes in Farm management that may affect carbon calculations or Project eligibility.
Such changes may include clearing trees, changing land use, substantially changing fertilizer use, abandoning agreed regenerative practices, converting land, or other activities that materially affect Project outcomes.
Where carbon storage is subsequently lost or reversed, the Project may be required to account for the reversal in accordance with the applicable methodology or carbon standard.
A reversal may affect future credit issuance, project performance, buffer requirements, or other Project obligations.
Carbon Projects may operate over periods extending beyond the initial registration or implementation period.
Farmers and other participants may be required to comply with applicable Project obligations for the agreed Project duration.
The Project duration shall be communicated through the applicable Project documentation.
A Carbon Project may be terminated due to failure to meet eligibility requirements, insufficient funding, changes in methodology, regulatory requirements, verification failure, material breach, environmental events, market conditions, or other circumstances.
Termination of a Project does not necessarily extinguish obligations that have already accrued.
SOC Vibo Africa does not guarantee that any Farm will generate carbon credits.
Credit issuance may depend on factors outside SOC Vibo Africa's control, including verification results, methodology requirements, registry decisions, regulatory changes, project performance, data quality, additionality, permanence, market requirements, and other factors.
Users must ensure that statements concerning their carbon activities are accurate.
A User shall not claim that they have generated, owned, sold, retired, or verified carbon credits unless the relevant status has actually been established.
Terms such as “carbon credit,” “verified removal,” “verified reduction,” or similar claims must not be used inaccurately or misleadingly.
Carbon Projects may be designed to produce environmental and social co-benefits in addition to climate benefits.
Projects may therefore incorporate requirements concerning biodiversity, soil health, water protection, community participation, farmer welfare, land rights, grievance mechanisms, and other safeguards.
Participants shall comply with applicable Project safeguards.
SOC Vibo Africa may maintain records relating to Farm Data, GHG calculations, carbon measurements, monitoring activities, verification documents, carbon-credit transactions, payments, and other Project information.
Such records may be retained for the period required by law, contractual obligations, applicable carbon standards, registries, or legitimate business and verification requirements.
Carbon markets and climate-related regulations may change over time.
Where changes in applicable law, regulation, carbon standards, registry rules, or government policy affect a Carbon Project, SOC Vibo Africa may modify Project procedures or requirements to maintain compliance.
Information relating to carbon markets, carbon prices, projected revenue, environmental assets, or Carbon Projects is provided for project and informational purposes and does not constitute financial, investment, legal, tax, or professional advice unless expressly stated otherwise.
Users should obtain independent professional advice where required.
Each User is responsible for ensuring that statements they make concerning their Carbon Project participation, Farm carbon performance, or carbon credits are truthful and supported by appropriate records.
False or misleading carbon claims may expose the User to contractual, financial, regulatory, or legal consequences.
Where preliminary calculations are displayed on the Platform, the final recognized carbon result shall be the result established through the applicable measurement, monitoring, validation, verification, certification, and registry processes.
Platform estimates may therefore change before final issuance.
Participation in a Carbon Project does not guarantee profit, income, investment return, carbon-credit issuance, or financial compensation.
Any financial benefit shall depend on actual Project performance, verified results, applicable revenue-sharing arrangements, successful sale or monetization of eligible credits, market conditions, and other applicable factors.
SOC Vibo Africa may facilitate payments relating to services, field assignments, Farm activities, training, incentives, project participation, carbon-credit revenue, reimbursements, commissions, or other approved transactions.
The applicable payment amount, payment method, eligibility requirements, timing, and any applicable deductions may vary depending on the service, Project, User category, and applicable agreement.
No payment shall be considered due merely because a User has registered on the Platform or participated in an activity unless the applicable requirements for payment have been satisfied.
Users receiving payments may be required to provide accurate payment information.
This may include:
The User is responsible for ensuring that payment information is accurate and belongs to the authorized recipient.
A User must not provide another person's payment account as their own unless expressly authorized and permitted under the applicable payment arrangement.
SOC Vibo Africa may delay or reject a payment where there is a reasonable concern regarding the identity of the intended recipient or the accuracy of payment information.
Where SOC Vibo Africa provides a digital Wallet, eligible payments, earnings, incentives, rewards, or other approved financial balances may be credited to the Wallet.
The Wallet is a digital record of eligible balances and does not necessarily constitute a bank account or deposit-taking account.
Users shall only use the Wallet for authorized transactions.
A Wallet balance may include amounts that are:
a. earned and available for withdrawal;
b. pending verification;
c. subject to project completion;
d. subject to a dispute;
e. reserved for a specific transaction; or
f. otherwise restricted under applicable terms.
The balance displayed to a User may therefore not always represent an amount immediately available for withdrawal.
A User becomes eligible for a payment only after satisfying the applicable requirements.
For Contractors, eligibility may depend on successful completion and acceptance of an assignment.
For Farmers, eligibility may depend on project participation, verified activities, carbon-credit revenue, applicable benefit-sharing arrangements, or other project requirements.
Where a Contractor is entitled to payment for a completed assignment, the applicable rate and payment conditions shall be determined by the Contractor agreement, assignment terms, or Platform information applicable to that assignment.
Payment may be subject to successful submission, quality review, acceptance, verification, and compliance with the applicable requirements.
Farmer payments may arise from agricultural programmes, project incentives, approved services, carbon-credit revenue sharing, or other arrangements.
The specific basis for payment shall be established through the applicable programme or Project agreement.
Participation in the Platform alone does not create an automatic entitlement to payment.
Where a Carbon Project generates revenue through the sale, transfer, retirement, or other monetization of eligible carbon credits, the relevant revenue may be distributed among participating parties according to the applicable Project agreement.
The distribution may take into account Project costs, verification costs, registry fees, taxes, transaction costs, service fees, commissions, Contractor costs, Project Developer costs, and other agreed deductions.
Where a Farmer or Landowner is entitled to a share of carbon revenue, the applicable percentage, formula, or amount shall be communicated in the relevant Project agreement.
No User shall be entitled to a particular carbon-revenue percentage unless expressly provided in the applicable agreement.
A User may be entitled to receive a share of revenue generated from carbon credits without necessarily owning the carbon credits themselves.
Carbon-credit ownership, environmental-attribute rights, revenue rights, and payment rights shall be determined separately under the applicable Project documentation.
Payments shall be processed within the timeframe applicable to the relevant service or Project.
Payment timing may depend on completion of verification, availability of project funds, buyer settlement, registry processes, banking or mobile-money systems, regulatory requirements, and other factors.
Carbon-related payments may take significantly longer than ordinary service payments where they depend on verification or credit sales.
A payment may remain pending where:
a. required information has not been provided;
b. the relevant work is under review;
c. a Carbon Project is awaiting verification;
d. a buyer has not completed settlement;
e. the transaction is subject to fraud or compliance checks;
f. payment information is incomplete;
g. the transaction is disputed; or
h. another legitimate processing requirement applies.
Where a payment fails because of incorrect payment information, an inactive account, network failure, insufficient information, payment-provider restrictions, or another issue outside SOC Vibo Africa's reasonable control, the Company may retry the payment or request corrected information.
Additional transaction charges imposed by third-party payment providers may apply where permitted.
Where a payment is made in error, obtained through fraud, generated from a fraudulent transaction, or otherwise improperly credited, SOC Vibo Africa may correct or reverse the transaction where legally permitted.
A User shall cooperate in resolving erroneous payments.
Users must not manipulate the Platform or payment systems to obtain unauthorized financial benefits.
Prohibited conduct includes:
SOC Vibo Africa may maintain records of payments, Wallet transactions, withdrawals, transfers, fees, deductions, reversals, and other financial activities.
Transaction records may be used for accounting, auditing, dispute resolution, fraud prevention, tax compliance, Project reporting, and other legitimate purposes.
SOC Vibo Africa may charge fees for particular services or transactions.
Applicable fees may include Platform fees, data storage fees, field-operation fees, transaction fees, withdrawal fees, service charges, Project-management fees, or other agreed charges.
Where applicable, fees shall be disclosed before the User commits to the relevant transaction.
Banks, mobile-money operators, payment processors, financial institutions, registries, or other third parties may impose additional charges.
Unless otherwise agreed, such charges may be deducted from or separately payable by the relevant User.
Users are responsible for taxes arising from income, payments, carbon revenue, Contractor compensation, business activities, or other financial benefits received through the Platform to the extent required by applicable law.
SOC Vibo Africa may make tax deductions or withholdings where legally required.
Unless otherwise stated, payment amounts displayed through the Platform shall be denominated in the currency specified for the relevant service or Project.
Where currency conversion is required, the applicable exchange rate or conversion method may be determined by the payment provider, financial institution, or agreed Project terms.
Where Wallet withdrawals are permitted, Users may request withdrawal of eligible balances through the available payment method.
SOC Vibo Africa may require identity verification or additional security checks before processing a withdrawal.
SOC Vibo Africa may establish minimum withdrawal amounts, processing periods, transaction limits, or other reasonable conditions for Wallet withdrawals.
Such conditions may be communicated through the Platform.
Certain amounts may be restricted from withdrawal until an applicable condition has been satisfied.
Restricted balances may include pending project revenue, disputed amounts, amounts under verification, amounts associated with suspected fraud, or amounts subject to contractual restrictions.
A User who believes that a payment, deduction, Wallet balance, or transaction is incorrect should report the issue through the designated SOC Vibo Africa support channel.
The User may be required to provide transaction details, supporting documents, screenshots, payment references, or other information necessary to investigate the issue.
SOC Vibo Africa may investigate disputed transactions by reviewing Platform records, assignment records, Farm Data, payment-provider records, Contractor submissions, Project documents, and other relevant information.
Where the investigation establishes that a payment was incorrectly calculated or processed, SOC Vibo Africa may make an appropriate correction where legally and contractually permitted.
SOC Vibo Africa shall not intentionally withhold a User's eligible payment except where there is a lawful, contractual, compliance, fraud-prevention, dispute-resolution, or other legitimate basis for doing so.
Where carbon-credit revenue depends on payment by a Carbon Buyer or intermediary, SOC Vibo Africa may not be able to distribute the relevant revenue until the applicable buyer payment has been received and cleared.
The timing of Farmer or Project-participant payments may therefore depend on third-party settlement.
The generation or issuance of carbon credits does not guarantee that the credits will immediately be sold.
Where eligible credits remain unsold, revenue distributions linked to their sale may not become payable until a qualifying transaction occurs, unless the Project agreement provides otherwise.
Carbon-credit prices may change over time.
Factors may include market demand, carbon standard, project type, credit quality, vintage, location, environmental and social co-benefits, regulatory requirements, buyer preferences, and broader market conditions.
Users acknowledge that projected carbon revenue may therefore differ from actual revenue.
Carbon Project revenue may be subject to reasonable and agreed deductions necessary to operate the Project.
Such deductions may include:
Participation in SOC Vibo Africa services does not guarantee profit, income, investment returns, carbon revenue, or any specific financial outcome.
Financial results depend on actual services delivered, Project performance, verified carbon results, market conditions, buyer demand, applicable costs, and other factors.
SOC Vibo Africa may use third-party financial institutions, banks, mobile-money providers, payment processors, or other financial-service providers.
Users agree to comply with applicable terms imposed by those providers where necessary to complete transactions.
SOC Vibo Africa may conduct reasonable financial compliance checks, including identity verification, transaction monitoring, fraud detection, anti-money-laundering checks, and other legally required procedures.
Transactions may be delayed, rejected, or referred for additional review where required by applicable law or legitimate compliance procedures.
Users shall not use the Platform to facilitate money laundering, terrorist financing, fraud, bribery, corruption, unauthorized fundraising, financial impersonation, or other unlawful financial activity.
SOC Vibo Africa may restrict or terminate accounts associated with suspected unlawful financial activity and may report matters to relevant authorities where legally required.
Except where a correction, reversal, refund, dispute resolution, fraud investigation, or legal requirement applies, a completed payment shall be treated as final.
Users should review transaction information before confirming payments or withdrawals.
Where refunds are applicable, they shall be handled according to the terms of the relevant service or transaction.
Some services may be non-refundable once field work, mapping, verification, processing, or other services have commenced.
Where a User's Wallet or payment entitlement is affected by death, incapacity, succession, legal transfer, or change of authorized account holder, SOC Vibo Africa may require appropriate legal documentation before releasing or transferring funds.
Users are responsible for retaining records of payments received, withdrawals, invoices, receipts, and other financial information relevant to their own tax, accounting, or legal obligations.
SOC Vibo Africa may provide transaction records where available but does not assume responsibility for the User's accounting or tax affairs.
Any payment obligations, outstanding fees, disputed transactions, repayment obligations, or other financial responsibilities arising before termination of an account shall remain enforceable after termination, subject to applicable law.
The SOC Vibo Africa Platform, including its software, website, mobile applications, dashboards, interfaces, databases, system architecture, workflows, designs, graphics, logos, trademarks, AI systems, algorithms, documentation, and other technology, is owned by or licensed to SOC Vibo Africa and is protected by applicable intellectual-property laws.
Nothing in these Terms transfers ownership of the Platform or any part of it to a User.
Unless expressly stated otherwise, SOC Vibo Africa retains all rights, title, and interest in intellectual property developed, acquired, licensed, or used in connection with the Platform.
This may include:
a. software and source code;
b. databases and database structures;
c. artificial intelligence systems;
d. algorithms and models;
e. mapping systems;
f. digital workflows;
g. user-interface designs;
h. trademarks and logos;
i. manuals and training materials;
j. technical documentation;
k. proprietary methodologies;
l. reports and templates;
m. graphics and visual materials;
n. Platform-generated system features; and
o. other proprietary technology or content.
Subject to compliance with these Terms, SOC Vibo Africa grants the User a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes.
This licence does not permit the User to reproduce, modify, distribute, sell, sublicense, reverse engineer, or commercially exploit the Platform unless expressly authorized in writing.
A User must not:
a. copy or reproduce Platform software;
b. reverse engineer or decompile the Platform;
c. attempt to obtain source code;
d. bypass technical restrictions;
e. interfere with Platform security;
f. reproduce proprietary workflows;
g. scrape or systematically extract Platform content;
h. create a competing platform using protected Platform materials;
i. sell access to the Platform without authorization;
j. remove copyright, trademark, or proprietary notices; or
k. use SOC Vibo Africa intellectual property in a misleading or unauthorized manner.
The SOC Vibo Africa name, logos, marks, designs, slogans, and other branding elements may not be copied, modified, displayed, reproduced, or used commercially without prior authorization.
Contractors and other Users may only represent themselves as affiliated with SOC Vibo Africa to the extent expressly authorized.
Where SOC Vibo Africa authorizes Contractors to use its branding during field operations, the Contractor shall use the branding only for legitimate Platform-related activities.
Authorization may be withdrawn at any time.
A Contractor shall not use SOC Vibo Africa branding to:
Users may submit photographs, videos, documents, Farm records, agricultural information, comments, reports, and other content to the Platform.
The User retains any ownership rights they legally hold in such content, subject to the rights granted to SOC Vibo Africa under these Terms and any applicable Project agreement.
By submitting content to SOC Vibo Africa, the User grants SOC Vibo Africa a licence to host, store, process, reproduce, transmit, analyze, display, organize, and use the content to the extent reasonably necessary to provide the relevant services, operate the Platform, conduct Project activities, perform monitoring and verification, maintain records, and comply with legal or contractual obligations.
Where required by applicable law, additional consent may be obtained.
Where the Platform generates AI-assisted outputs based on User-submitted information, the resulting output may be used for the purposes of providing the relevant service.
AI-generated outputs may include Farm boundaries, tree counts, classifications, estimates, reports, recommendations, or other analytical results.
AI outputs remain subject to applicable Platform, intellectual-property, data-protection, Project, and contractual requirements.
The underlying AI models, algorithms, software, model configurations, prompts, workflows, training systems, technical processes, and other technology used by SOC Vibo Africa remain the property of SOC Vibo Africa or its authorized technology providers, unless otherwise agreed.
A User does not acquire ownership of an AI system merely because they provide information that is processed by that system.
AI outputs are provided as technological assistance and may contain errors or inaccuracies.
Where an AI-generated result is used for Farm Mapping, carbon measurement, tree counting, GHG accounting, or another material Project decision, the result may be subject to human review, field verification, validation, or other quality-control processes.
Users must not deliberately manipulate Platform inputs for the purpose of corrupting, misleading, testing, attacking, or improperly influencing SOC Vibo Africa AI systems.
Users must not use Platform information to train, develop, benchmark, or improve a competing AI system without authorization.
Information, guides, manuals, educational materials, graphics, videos, reports, articles, training content, templates, and other materials made available through the Platform may be protected by copyright or other intellectual-property rights.
Users may access and use such materials only for their intended purpose.
Where SOC Vibo Africa provides manuals, training materials, videos, presentations, guides, or other educational content, the User may use them for personal or authorized Project purposes.
The User shall not reproduce, sell, publish, distribute, modify, or commercially exploit the materials without authorization.
Users may provide suggestions, recommendations, comments, ideas, or feedback concerning the Platform.
By providing feedback, the User agrees that SOC Vibo Africa may use such feedback to improve its services without creating an obligation to compensate the User, unless otherwise agreed.
SOC Vibo Africa may modify, improve, replace, remove, or introduce Platform functions at any time.
Such changes may include new AI Tools, mapping features, payment systems, dashboards, reporting functions, Farm-management tools, security controls, or other services.
A User shall not have an automatic right to continued access to a particular feature unless expressly guaranteed under a separate agreement.
The Platform may contain or integrate materials owned by third parties.
Such materials remain subject to the intellectual-property rights and applicable terms of the relevant third party.
Users must comply with any applicable restrictions.
By submitting content, the User represents that:
a. they have the legal right to submit the content;
b. the submission does not knowingly infringe another person's rights;
c. where necessary, appropriate consent has been obtained;
d. the content is not knowingly fraudulent; and
e. the content does not unlawfully contain another person's confidential or Personal Data.
SOC Vibo Africa may investigate claims that content uploaded to the Platform infringes intellectual-property rights.
Where appropriate, SOC Vibo Africa may remove, restrict, or disable access to allegedly infringing content while the matter is investigated.
Users shall not use Platform information, Farm Data, AI outputs, reports, databases, Contractor information, or other Platform resources to create an unauthorized commercial service that competes with or improperly exploits SOC Vibo Africa's services.
Carbon Project information may involve rights belonging to multiple parties, including Farmers, Landowners, Project Developers, technical partners, standards organizations, registries, Buyers, and SOC Vibo Africa.
Ownership and permitted use of Project-specific intellectual property shall therefore be determined by the applicable Project agreement and relevant legal requirements.
Reports, calculations, maps, assessments, dashboards, and other outputs generated through the Platform may contain proprietary methodologies or information.
Unless expressly authorized, Users may use such materials for their intended Project or Farm purposes but may not reproduce or commercially redistribute them.
A User wishing to share Platform-generated reports, Farm maps, carbon calculations, or other protected materials with an external party should ensure that such sharing is permitted under the applicable Project agreement and data-protection requirements.
SOC Vibo Africa may restrict sharing of information where disclosure could compromise confidentiality, security, verification, or another User's rights.
Except for the limited rights expressly granted under these Terms, no licence, ownership right, intellectual-property right, or other permission is granted to the User by implication, estoppel, or otherwise.
Users shall not attempt to obtain, disclose, reproduce, or exploit SOC Vibo Africa trade secrets, confidential algorithms, proprietary methodologies, business processes, pricing structures, technical systems, or other protected information.
The provisions concerning intellectual property, confidentiality, unauthorized use, proprietary technology, and restrictions on reproduction shall continue after termination of the User's account to the extent required to protect the relevant rights.
SOC Vibo Africa shall make reasonable efforts to keep the Platform operational and accessible.
However, the User acknowledges that the Platform may occasionally become unavailable, interrupted, delayed, or restricted due to maintenance, upgrades, technical failures, network interruptions, cybersecurity incidents, third-party service failures, power interruptions, regulatory requirements, or other circumstances beyond the reasonable control of SOC Vibo Africa.
Temporary unavailability shall not, by itself, constitute a breach of these Terms.
SOC Vibo Africa may carry out scheduled or emergency maintenance to protect the Platform, improve performance, introduce new features, correct errors, update security systems, or comply with technical or legal requirements.
Where reasonably practicable, SOC Vibo Africa may provide advance notice of planned maintenance that is expected to materially affect Platform availability.
SOC Vibo Africa may add, modify, suspend, replace, restrict, or discontinue Platform features.
Changes may affect dashboards, Farm Mapping, AI Tools, payment functions, reporting systems, Contractor workflows, Farmer services, or other Platform functions.
Where a feature is discontinued, SOC Vibo Africa may provide a reasonable alternative where commercially and technically practicable.
The Platform depends on internet and telecommunications infrastructure.
SOC Vibo Africa does not control the availability, speed, quality, or reliability of third-party internet, mobile-network, satellite, or telecommunications services.
Users are responsible for ensuring that they have adequate connectivity to use the Platform.
Some Platform functions may require compatible smartphones, tablets, computers, GPS-enabled devices, cameras, operating systems, browsers, or other equipment.
SOC Vibo Africa does not guarantee compatibility with every device, operating system, browser, or software version.
Certain Platform functions may require access to device location services.
Where location information is necessary for Farm Mapping, field operations, security, or other authorized functions, the User may be required to enable location services.
Disabling location services may prevent certain features from functioning correctly.
GPS technology may have limitations caused by weather, satellite availability, buildings, vegetation, device quality, terrain, network conditions, or other factors.
GPS coordinates generated through the Platform are therefore subject to reasonable technical limitations.
Where accurate Farm boundaries are material to a Project, additional field verification or other measurement methods may be required.
SOC Vibo Africa may use satellite imagery, aerial imagery, remote-sensing information, or other geospatial data.
Such data may contain limitations relating to resolution, cloud cover, image dates, atmospheric conditions, processing methods, availability, or third-party data sources.
Remote-sensing information may therefore be supplemented by physical field observations.
SOC Vibo Africa may use AI and automated systems to support Farm Mapping, tree counting, image analysis, agricultural assessments, GHG calculations, monitoring, data validation, reporting, and other Platform functions.
AI systems are designed to assist users and project personnel but may not always produce perfect results.
Where an AI result could materially affect a Farmer, Contractor, payment, Farm boundary, carbon calculation, or Project decision, SOC Vibo Africa may require human review, field inspection, verification, or other quality-control procedures.
Users shall cooperate with reasonable requests for additional information or field verification.
Users acknowledge that AI-generated information may be affected by:
a. poor image quality;
b. incomplete Farm Data;
c. incorrect inputs;
d. satellite-image limitations;
e. seasonal changes;
f. environmental conditions;
g. model limitations;
h. insufficient training information;
i. technical errors; or
j. other factors.
An AI output should therefore not automatically be treated as a final professional, legal, survey, financial, agricultural, or carbon determination.
Users must not deliberately manipulate photographs, GPS information, Farm Data, images, videos, documents, or other inputs to influence an AI result for an improper purpose.
Any deliberate manipulation intended to obtain an unauthorized benefit may constitute fraud or a material breach of these Terms.
SOC Vibo Africa may restrict AI Tool access according to User role, Farm assignment, Project, location, training, authorization, or other security requirements.
For Contractors, AI access may be tied to an active Farm assignment.
Once the relevant assignment has been completed and submitted, access to the associated Farm's AI Tools may be removed.
Where the Platform uses automated systems to support decisions, SOC Vibo Africa may provide appropriate review or escalation mechanisms where required by applicable law or where the decision materially affects a User.
Automated outputs may be subject to human review.
Some Platform functions may operate using synchronized or temporarily cached information.
Where a device is offline or has limited connectivity, information may not immediately appear on the Platform.
Users should allow sufficient time for synchronization before assuming that information has been lost or rejected.
SOC Vibo Africa shall take reasonable measures to protect Platform Data and maintain appropriate backups where practicable.
However, Users acknowledge that no digital system is completely immune from data loss, corruption, technical failure, or security incidents.
Users should retain copies of important records where they are legally or practically responsible for those records.
Where the Platform contains an obvious technical error, SOC Vibo Africa may correct the error and, where appropriate, correct affected records or transactions.
Users must not knowingly exploit system errors to obtain unauthorized benefits.
Users must not introduce malicious code, viruses, malware, ransomware, spyware, or other harmful technology into the Platform.
Users must not attempt unauthorized penetration testing, vulnerability exploitation, denial-of-service attacks, credential theft, or other activity designed to compromise Platform security unless expressly authorized in writing for a legitimate security-testing purpose.
Users must not use bots, scripts, crawlers, scraping tools, automated extraction systems, or other automated technologies to access or collect Platform information without authorization.
SOC Vibo Africa may monitor technical activity on the Platform for purposes including:
Where legally required, such monitoring shall be carried out in accordance with applicable privacy requirements.
SOC Vibo Africa may introduce additional security measures, including:
a. multi-factor authentication;
b. identity verification;
c. device verification;
d. location checks;
e. session controls;
f. password requirements;
g. transaction verification; and
h. other reasonable security measures.
Users must comply with applicable security requirements.
SOC Vibo Africa may provide technical support through designated support channels.
Support may include assistance with account access, Platform functionality, Farm Mapping, field submissions, payment issues, AI Tools, and other Platform-related matters.
Support does not necessarily include agricultural, legal, tax, financial, or other professional advice unless expressly provided as part of a specific service.
The Platform may rely on third-party technology, including cloud services, mapping systems, satellite providers, payment providers, telecommunications systems, AI providers, hosting services, identity-verification systems, and other technical partners.
The performance of such third-party systems may affect Platform functionality.
Where a third-party service becomes unavailable or experiences technical problems, SOC Vibo Africa may temporarily restrict affected Platform functions until the service becomes available or an alternative solution is implemented.
SOC Vibo Africa may communicate with Users through:
Users are responsible for maintaining accurate contact information and regularly checking important Platform notifications.
Users consent to receiving electronic communications relating to their accounts, Farm activities, Projects, payments, security, assignments, verification, and other Platform matters where permitted by law.
Electronic records and communications may be retained as evidence of notices, transactions, approvals, submissions, or other activities.
Where a Platform interruption affects a time-sensitive Farm, payment, mapping, monitoring, or Project activity, Users should contact SOC Vibo Africa through the designated support channel.
SOC Vibo Africa may provide alternative procedures where reasonably practicable.
SOC Vibo Africa may continuously improve its technology, including by introducing new AI models, mapping systems, data-analysis methods, security measures, mobile applications, dashboards, or other tools.
Such improvements may change how certain Platform functions operate.
SOC Vibo Africa does not guarantee that the Platform will always operate without errors, delays, interruptions, inaccuracies, vulnerabilities, or technical limitations.
The Platform is provided with reasonable efforts to maintain functionality and reliability, subject to the limitations described in these Terms.
Users agree to use SOC Vibo Africa technology responsibly and only for legitimate purposes.
Users shall not attempt to exploit technological limitations, manipulate automated systems, interfere with another User's access, or use Platform technology in a manner that could compromise Farm records, carbon accounting, payments, security, or the integrity of the Platform.
Every Farmer, Contractor, Project Participant, User, or other person affected by SOC Vibo Africa's services has the right to raise a genuine complaint, concern, grievance, or dispute concerning the Platform, Farm activities, field operations, payments, data processing, Carbon Projects, Contractors, or other services.
No User shall be penalized merely for submitting a genuine complaint in good faith.
SOC Vibo Africa shall maintain appropriate mechanisms for receiving and addressing complaints.
The grievance mechanism is intended to provide a fair, accessible, transparent, and reasonable process through which concerns may be reviewed and, where appropriate, resolved.
A complaint may relate to, among other matters:
a. inaccurate Farm Mapping;
b. incorrect Farm boundaries;
c. unauthorized Farm access;
d. misconduct by a Contractor or Field Officer;
e. unauthorized collection of money;
f. payment or Wallet issues;
g. inaccurate carbon calculations;
h. Carbon Project participation;
i. carbon-revenue sharing;
j. unauthorized use of Personal Data;
k. privacy concerns;
l. inappropriate use of AI Tools;
m. fraudulent activity;
n. discrimination or harassment;
o. Platform errors;
p. breach of these Terms;
q. Project implementation;
r. environmental or social concerns; or
s. any other material concern relating to SOC Vibo Africa services.
Complaints may be submitted through the official complaint or support channels provided by SOC Vibo Africa.
Depending on the matter, a complaint may be submitted through the Platform, email, telephone, written communication, support centre, designated field representative, or another approved channel.
Where reasonably possible, the complainant should provide sufficient information to allow the matter to be investigated.
This may include:
A complaint shall not automatically be rejected merely because the complainant is unable to provide every item of supporting information.
SOC Vibo Africa may accept anonymous complaints where appropriate.
However, anonymous complaints may be more difficult to investigate or resolve because the Company may be unable to obtain additional information or communicate the outcome to the complainant.
Where reasonably practicable, SOC Vibo Africa may acknowledge receipt of a complaint and provide the complainant with an appropriate reference or indication that the matter has been received.
SOC Vibo Africa may classify complaints according to their nature, seriousness, urgency, and potential impact.
Complaints may be categorized as:
a. routine service complaints;
b. payment disputes;
c. technical complaints;
d. data or privacy complaints;
e. Contractor misconduct;
f. environmental or social grievances;
g. Carbon Project disputes;
h. fraud or security matters; or
i. serious or urgent complaints.
Complaints involving immediate threats to personal safety, serious misconduct, suspected fraud, unauthorized access to sensitive information, serious environmental harm, or other urgent matters may receive priority handling.
SOC Vibo Africa may take temporary protective measures while an investigation is ongoing.
SOC Vibo Africa may investigate complaints by reviewing relevant information, including Platform records, Farm Data, photographs, GPS information, payment records, Contractor submissions, communications, Project documents, and other available evidence.
Where necessary, SOC Vibo Africa may interview the complainant, the person complained against, witnesses, Contractors, Farmers, Project partners, or other relevant persons.
Complaints should, where reasonably practicable, be reviewed by a person who is sufficiently independent from the matter being investigated.
A person with a material conflict of interest should not make the final determination of a complaint where an alternative reviewer is reasonably available.
Where a complaint concerns a Contractor or Field Officer, SOC Vibo Africa may investigate the Contractor's conduct, assignment records, submitted information, communications, payment history, and other relevant evidence.
The Contractor may be required to provide an explanation or supporting information.
Where a complaint concerns a Farmer, the Farmer should be given a reasonable opportunity to explain the circumstances before an adverse decision is made, except where immediate action is necessary to protect people, data, property, Project integrity, or legal compliance.
During an investigation, SOC Vibo Africa may temporarily:
a. suspend an account;
b. restrict Platform access;
c. suspend Farm assignments;
d. restrict payment or withdrawal functions;
e. remove Contractor access;
f. restrict access to sensitive data;
g. require additional verification; or
h. take other reasonable protective measures.
Temporary action shall not necessarily constitute a final finding of wrongdoing.
SOC Vibo Africa may maintain records relating to complaints, investigations, decisions, communications, evidence, corrective actions, and resolutions.
Such records may be retained in accordance with applicable legal, regulatory, contractual, privacy, and operational requirements.
Where appropriate, a complaint may be resolved through:
Providing assistance to resolve a complaint does not automatically constitute an admission of liability or wrongdoing by SOC Vibo Africa.
A corrective action may be taken as a practical solution without establishing legal responsibility.
Where appropriate and legally permissible, SOC Vibo Africa may communicate the outcome of an investigation to the complainant.
The Company may limit information provided where disclosure would violate another person's privacy, confidentiality, security, legal rights, or contractual obligations.
Where a complainant disagrees with the outcome of a complaint, they may request a review through the designated escalation process where one is available.
The request should identify the specific decision being challenged and provide any new information or evidence that may support reconsideration.
Users should raise complaints as soon as reasonably practicable after becoming aware of the relevant issue.
Certain Project, payment, contractual, or legal disputes may be subject to specific deadlines contained in the applicable agreement or imposed by law.
Where a dispute concerns Farm boundaries, SOC Vibo Africa may review mapping information, GPS records, satellite imagery, Farmer statements, Land Documents where available, field observations, and other relevant evidence.
SOC Vibo Africa does not determine legal ownership of land unless expressly authorized by applicable law.
Where two or more persons claim ownership, possession, or legal rights over the same land, SOC Vibo Africa may suspend affected Project activities until the dispute is reasonably clarified.
SOC Vibo Africa may request appropriate documentation or evidence of lawful authority.
Where a User disputes a GHG or carbon calculation, SOC Vibo Africa may review the underlying Farm Data, methodology, assumptions, measurements, monitoring information, and applicable calculation procedures.
Where appropriate, a recalculation, additional field assessment, or technical review may be undertaken.
Disputes relating to carbon-credit issuance, ownership, transfer, retirement, verification, or registry status may be subject to the rules of the applicable carbon standard, registry, Project agreement, or other governing framework.
Where an independent verification body or registry has authority over a particular determination, SOC Vibo Africa may not have unilateral authority to change that determination.
Where a dispute concerns carbon-credit revenue or other Project proceeds, the relevant Project agreement shall determine the applicable calculation, entitlement, deductions, and dispute-resolution procedure.
SOC Vibo Africa may review relevant transaction records, sales agreements, payment records, Project accounts, and other supporting documentation.
A User disputing a payment should provide the relevant payment reference, transaction date, amount, payment method, and explanation of the discrepancy where available.
SOC Vibo Africa may coordinate with the relevant payment provider where necessary.
Complaints concerning Personal Data, privacy, unauthorized disclosure, access requests, or data processing shall be handled in accordance with applicable data-protection laws and SOC Vibo Africa's applicable privacy procedures.
Where a separate data-protection complaint mechanism exists, the complaint may be referred to the appropriate data-protection function.
SOC Vibo Africa shall not intentionally retaliate against a person merely because they have submitted a genuine complaint or participated in an investigation in good faith.
This protection does not extend to knowingly false, malicious, fraudulent, or deliberately misleading complaints.
Users shall not knowingly submit false allegations for the purpose of harming another User, interfering with a Project, obtaining an unauthorized benefit, or abusing the grievance process.
Where deliberate misuse of the complaint mechanism is established, SOC Vibo Africa may take appropriate action.
Where appropriate, SOC Vibo Africa may encourage parties to resolve disputes through discussion or mediation before commencing formal proceedings.
Mediation may involve an independent mediator or another mutually acceptable person.
Unless otherwise agreed, the costs of mediation shall be allocated between the parties as agreed or determined by the mediator.
Parties may agree to settle a dispute through a written settlement agreement.
A settlement may specify corrective actions, payments, confidentiality obligations, project adjustments, timelines, or other agreed terms.
Where a dispute cannot be resolved through the applicable internal grievance or negotiation process, the parties may refer the matter to arbitration where required or permitted under the applicable agreement or law.
The arbitration procedure, location, appointment of the arbitrator, applicable rules, and allocation of costs shall be determined by the relevant agreement and applicable law.
Nothing in these Terms prevents a party from seeking relief from a court or other competent authority where such relief is legally available or where court proceedings are required by law.
The applicable jurisdiction shall be determined by the governing-law and jurisdiction provisions of these Terms or the relevant Project agreement.
Nothing in these Terms prevents SOC Vibo Africa or a User from seeking urgent legal or protective measures where necessary to prevent immediate harm, protect confidential information, preserve property, prevent unauthorized data use, or protect intellectual-property rights.
A Carbon Project, Farmer programme, Contractor agreement, investment arrangement, or other service may contain additional dispute-resolution procedures.
Where there is a conflict between these general Terms and a specific written agreement concerning a particular Project, the specific agreement shall govern the relevant matter to the extent legally permitted.
The parties shall make reasonable efforts to resolve disputes in good faith before escalating them to formal proceedings.
Nothing in this provision prevents a party from taking urgent action where delay could cause serious harm or prejudice.
Unless otherwise agreed or required by law, each party shall ordinarily bear its own costs of preparing and presenting its complaint or response.
Costs associated with mediation, arbitration, expert assessment, or other formal processes may be allocated according to the applicable agreement, procedural rules, or decision of the relevant authority.
Unless the disputed matter makes continued performance impossible or unsafe, the parties should continue performing their undisputed obligations while the dispute is being addressed.
A dispute concerning one service shall not automatically suspend unrelated obligations.
Parties involved in a complaint or dispute should maintain confidentiality concerning non-public information disclosed during the process, except where disclosure is required by law, necessary for professional advice, necessary to enforce a legal right, or otherwise authorized.
Once a complaint or dispute has been resolved through an agreed settlement, final internal determination, arbitration award, court decision, or other legally recognized process, the parties shall comply with the applicable outcome, subject to any lawful right of review or appeal.
Participation in SOC Vibo Africa's internal grievance process does not automatically waive any legal right or remedy available to a User under applicable law.
SOC Vibo Africa shall seek to make its grievance process reasonably accessible to Farmers and other Users, including persons who may have limited digital access.
Where practicable, alternative communication channels may be provided for persons who are unable to use the Platform.
SOC Vibo Africa may provide complaint-related communication in appropriate languages or formats where reasonably practicable.
Where translation is required, the parties should make reasonable efforts to ensure that the substance of the complaint and response is accurately understood.
A delay by SOC Vibo Africa in responding to a complaint does not automatically constitute acceptance of the allegations or waiver of any rights.
Similarly, a User's delay in raising a complaint does not automatically establish that the User has accepted the disputed conduct, subject to applicable legal limitation periods and contractual deadlines.
Users, Contractors, Farmers, Project participants, and other relevant parties shall reasonably cooperate with legitimate investigations.
Failure to cooperate may affect the ability to resolve a complaint, particularly where important evidence is controlled by the relevant party.
SOC Vibo Africa may periodically review complaints and grievances to identify recurring problems, improve Platform processes, strengthen Contractor training, improve Farmer support, enhance Project safeguards, and reduce future disputes.
Users shall use the SOC Vibo Africa Platform, services, Farm information, AI Tools, payment facilities, Carbon Projects, and other resources only for lawful and authorized purposes.
Users shall comply with these Terms, applicable Project agreements, Platform instructions, and all applicable laws and regulations.
A User shall not use the Platform to:
a. commit or facilitate fraud;
b. impersonate another person;
c. provide deliberately false information;
d. manipulate Farm or carbon information;
e. obtain unauthorized financial benefits;
f. interfere with another User's account;
g. access information without authorization;
h. damage or disrupt the Platform;
i. distribute malicious software;
j. harass or threaten another person;
k. engage in bribery or corruption;
l. unlawfully collect Personal Data;
m. create fraudulent Carbon Projects or carbon claims;
n. engage in money laundering or other financial crime;
o. violate land, environmental, employment, privacy, or other applicable laws; or
p. engage in any other conduct prohibited by these Terms.
Users shall provide information that is reasonably accurate and complete.
Knowingly submitting false Farm boundaries, acreage, photographs, agricultural records, GPS information, carbon data, payment details, identity information, or other material information may result in suspension or termination.
A User shall not create multiple accounts for the purpose of obtaining duplicate benefits, avoiding Platform restrictions, manipulating Project participation, or concealing identity.
SOC Vibo Africa may restrict duplicate or suspicious accounts.
Users shall not share account credentials where doing so could compromise security, privacy, payments, Farm Data, or Platform integrity.
A User remains responsible for activity carried out through their account where the User failed to take reasonable steps to protect their credentials.
Users shall not impersonate Farmers, Contractors, SOC Vibo Africa personnel, Project Developers, Buyers, government officials, verification bodies, or other persons.
Users shall not attempt to access accounts, Farms, dashboards, databases, AI Tools, financial information, or other resources for which they have not been authorized.
Users shall not manipulate Platform processes, ranking systems, Farm allocation, AI Tools, payment systems, carbon calculations, verification processes, or other technical functions to obtain an unfair advantage.
Users shall not use the Platform or field operations to harass, intimidate, threaten, exploit, discriminate against, or abuse another person.
Users shall not offer, request, accept, or facilitate unauthorized payments, gifts, commissions, or benefits intended to influence a decision or obtain an improper advantage.
Users shall not use SOC Vibo Africa's Platform, Farmer information, Farm Data, or Carbon Project information to conduct unauthorized commercial activities or competing operations.
SOC Vibo Africa may suspend access, terminate accounts, withhold or recover improperly obtained payments where legally permitted, remove content, restrict Project participation, or refer matters to appropriate authorities where prohibited conduct is suspected or established.
SOC Vibo Africa seeks to support agricultural and environmental activities that promote responsible land management, climate resilience, soil health, biodiversity, and sustainable resource use.
Users participating in relevant Projects shall comply with applicable environmental requirements.
Users shall not knowingly use SOC Vibo Africa Projects to facilitate unlawful destruction, pollution, degradation, or misuse of land, forests, water resources, wetlands, wildlife habitats, or other protected resources.
Where Projects involve environmental or regenerative activities, participants should take reasonable measures to avoid unnecessary harm to biodiversity and ecosystems.
Participation in SOC Vibo Africa does not transfer ownership of land.
Users must have appropriate legal authority, consent, or contractual rights to participate in activities carried out on the relevant land.
Where material uncertainty exists concerning ownership, possession, or lawful use of land, SOC Vibo Africa may suspend affected Project activities until the issue is reasonably clarified.
Carbon and agricultural Projects shall, where applicable, take into account legitimate community interests and applicable legal rights.
Projects shall not knowingly be used to deprive communities of lawful rights or access to resources.
Where Project participation requires Farmer or community consent, such participation should be voluntary and based on adequate information, subject to any specific contractual obligations voluntarily accepted.
Children shall not be engaged in hazardous, exploitative, or unlawful activities associated with SOC Vibo Africa Projects.
Project activities shall comply with applicable child-protection and labour laws.
SOC Vibo Africa prohibits forced labour, human trafficking, slavery, and other forms of involuntary exploitation in activities directly connected to its Projects to the extent applicable.
Participants shall take reasonable measures to protect the health and safety of Farmers, Contractors, workers, visitors, and communities involved in Project activities.
Users shall handle fertilizers, pesticides, herbicides, and other agricultural chemicals responsibly and in accordance with applicable law and safety requirements.
Material environmental incidents connected with a Project should be reported through the appropriate SOC Vibo Africa channel where they may affect Project integrity, environmental outcomes, or participant safety.
SOC Vibo Africa may establish additional safeguards for Projects involving vulnerable communities, indigenous or local communities, land-use changes, environmental restoration, or other activities requiring enhanced social protection.
SOC Vibo Africa shall seek to provide its services without unlawful discrimination.
Users and Contractors shall not use SOC Vibo Africa activities to unlawfully discriminate against another person.
Where applicable, Projects may include measures intended to promote fair participation and access to benefits among women and other eligible participants.
Environmental and social concerns may be raised through the grievance mechanism established under Part 12.
Users shall comply with all laws and regulations applicable to their participation in SOC Vibo Africa services.
No User, Contractor, employee, Project partner, or other participant shall offer, promise, authorize, solicit, or accept a bribe or other improper advantage in connection with SOC Vibo Africa activities.
SOC Vibo Africa may establish systems to detect and prevent fraud involving identity, Farm Mapping, carbon measurements, payments, Project activities, AI Tools, or other Platform functions.
SOC Vibo Africa may investigate suspected fraudulent conduct and may temporarily restrict affected accounts or transactions while the investigation is ongoing.
Users shall not use the Platform or related financial services to launder money, conceal proceeds of crime, finance unlawful activities, or facilitate financial crime.
SOC Vibo Africa may require identity verification where reasonably necessary for account security, payments, Carbon Projects, regulatory compliance, fraud prevention, or other legitimate purposes.
SOC Vibo Africa may restrict transactions or participation where required by applicable sanctions, laws, regulations, court orders, or other binding requirements.
Users shall disclose material conflicts of interest where such conflicts could affect their participation, decision-making, verification, fieldwork, procurement, payment, or Project responsibilities.
A person may report suspected fraud, corruption, abuse, misconduct, manipulation of carbon data, or other serious wrongdoing through SOC Vibo Africa's designated reporting channels.
A person who makes a genuine report in good faith should not be subjected to retaliation merely because they reported suspected wrongdoing.
Deliberately false or malicious reports may constitute misconduct and may be subject to appropriate action.
SOC Vibo Africa may cooperate with law-enforcement agencies, regulators, courts, tax authorities, environmental authorities, and other competent institutions where legally required or reasonably necessary.
SOC Vibo Africa may conduct reasonable compliance reviews of Users, Contractors, Projects, transactions, Farm Data, or other activities where necessary to protect the integrity of its services.
A User may request closure of their account in accordance with the procedures provided by SOC Vibo Africa.
SOC Vibo Africa may temporarily suspend an account where reasonably necessary to:
a. investigate suspected fraud;
b. protect Platform security;
c. investigate a serious complaint;
d. prevent unauthorized access;
e. verify identity;
f. investigate inaccurate Farm Data;
g. protect Carbon Project integrity;
h. comply with legal requirements; or
i. address a material breach of these Terms.
SOC Vibo Africa may suspend access immediately where continued access creates a significant risk to Users, data, payments, Project integrity, security, or legal compliance.
Where reasonably practicable and legally permitted, SOC Vibo Africa may inform the User of the reason for suspension and any steps required for restoration.
SOC Vibo Africa may terminate an account where the User:
a. materially breaches these Terms;
b. engages in fraud;
c. repeatedly provides false information;
d. abuses the Platform;
e. unlawfully accesses another User's information;
f. engages in serious misconduct;
g. violates Project requirements;
h. engages in unlawful financial activity; or
i. otherwise creates a material risk to SOC Vibo Africa or other participants.
A User's participation in a particular Project may be terminated without necessarily terminating their entire SOC Vibo Africa account, where the relevant circumstances affect only that Project.
Upon termination, the User may lose access to relevant Platform features, Projects, Farm assignments, AI Tools, or other services.
Termination does not automatically extinguish valid payment obligations that accrued before termination.
However, amounts associated with fraud, disputed transactions, incomplete assignments, or contractual deductions may remain subject to investigation or adjustment.
Termination from a Carbon Project may not automatically release a participant from obligations that are intended to continue after withdrawal, including monitoring, confidentiality, carbon-rights obligations, reversal provisions, or other Project commitments.
Upon termination, a User may be required to return, delete, or cease using confidential information, equipment, credentials, or other SOC Vibo Africa property.
Data may continue to be retained where required for legal, regulatory, financial, Project, verification, security, audit, or legitimate operational purposes.
A User whose account has been terminated shall not create a replacement account to evade a suspension or termination unless expressly authorized.
Terms concerning confidentiality, intellectual property, payments, liability, dispute resolution, carbon obligations, data retention, and other provisions that naturally survive termination shall remain effective.
SOC Vibo Africa shall use reasonable efforts to provide its services and maintain the Platform.
However, Users acknowledge that agricultural, technological, environmental, carbon-market, and third-party risks may affect outcomes.
SOC Vibo Africa does not guarantee a specific crop yield, agricultural profit, Farm productivity, soil improvement, or other agricultural result.
SOC Vibo Africa does not guarantee that a Farm will generate carbon credits or that a particular number of credits will be issued.
Projected revenue, carbon income, incentives, payments, or financial estimates are not guarantees of actual earnings.
AI-generated information may contain errors.
Users should not rely solely on an AI output where professional assessment, field verification, legal determination, surveying, financial advice, or other specialized expertise is required.
Farm boundaries, acreage, GPS information, satellite imagery, and automated mapping results may contain inaccuracies.
Where legal ownership or boundary determination is required, Users should obtain appropriate professional or governmental verification.
SOC Vibo Africa may depend on third-party providers and shall not be responsible for failures caused solely by a third party to the extent permitted by law.
Carbon-credit prices and demand may fluctuate.
SOC Vibo Africa does not guarantee that credits will be sold, or that they will be sold at a particular price.
SOC Vibo Africa shall not be responsible for delay or failure caused by circumstances reasonably beyond its control, including natural disasters, extreme weather, fire, epidemics, war, civil unrest, government action, major network failures, power failures, cyber incidents, third-party outages, or other extraordinary events.
Users are responsible for decisions they make based on Platform information and for complying with applicable laws and Project requirements.
To the extent permitted by applicable law, SOC Vibo Africa shall not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from use of the Platform or participation in a Project.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
To the extent permitted by law, a User may be required to compensate SOC Vibo Africa for losses, claims, costs, damages, or liabilities arising from the User's unlawful conduct, fraud, material breach of these Terms, infringement of third-party rights, or misuse of the Platform.
Unless expressly provided as a professional service, Platform information does not constitute legal, tax, investment, medical, financial, surveying, or other professional advice.
Users should independently verify material information where the consequences of an error could be significant.
These Terms shall be interpreted and applied in accordance with the laws applicable to the SOC Vibo Africa entity providing the relevant service, subject to any mandatory legal requirements applicable to the User or Project.
Where services are provided in Kenya, the relevant activities shall comply with applicable Kenyan laws and regulations.
SOC Vibo Africa and Users shall comply with applicable requirements relating to data protection, environmental protection, land use, taxation, employment, financial transactions, carbon markets, consumer protection, and other relevant areas.
Personal Data shall be processed in accordance with applicable data-protection legislation and applicable SOC Vibo Africa privacy policies.
Carbon and agricultural Projects shall comply with applicable environmental laws, regulations, approvals, safeguards, and Project requirements.
Nothing in these Terms overrides lawful land ownership, land registration, tenancy, community land, customary rights, or other legal rights.
Carbon Projects shall comply with applicable carbon-market regulations, recognized standards, methodologies, registries, and Project-specific requirements.
Where a specific Project agreement imposes additional requirements, the Project agreement shall govern the relevant Project matters to the extent of any inconsistency.
Subject to applicable arbitration or other dispute-resolution provisions, disputes shall be submitted to a competent court with jurisdiction over the relevant matter.
Nothing in these Terms is intended to remove or restrict a legal right that cannot lawfully be excluded or restricted.
These Terms, together with applicable Project agreements, privacy policies, Platform policies, assignment terms, payment terms, and other expressly incorporated documents, constitute the agreement governing the relevant User's relationship with SOC Vibo Africa.
SOC Vibo Africa may update these Terms where reasonably necessary to reflect changes in law, technology, services, Projects, business operations, security requirements, or other circumstances.
Material changes may be communicated through appropriate channels.
Updated Terms shall become effective on the date specified in the updated version or, where no date is specified, upon publication through the applicable Platform or communication channel.
Continued use of the Platform after updated Terms become effective may constitute acceptance to the extent permitted by applicable law.
Where express consent is legally required, SOC Vibo Africa may request such consent.
SOC Vibo Africa may communicate notices through the Platform, email, SMS, telephone, or other approved communication channels.
Users are responsible for keeping their contact information current.
Electronic records, approvals, submissions, acknowledgements, and communications may be treated as valid records of transactions and agreements to the extent permitted by law.
A User shall not transfer their rights or obligations under these Terms to another person without authorization where such authorization is required.
SOC Vibo Africa may transfer or assign its rights and obligations as part of a restructuring, merger, acquisition, sale of assets, Project transfer, or other lawful business transaction.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
Failure to enforce a provision immediately does not constitute a permanent waiver of that provision.
Use of the Platform or participation in a Project does not automatically create a partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between SOC Vibo Africa and a User.
Users shall not represent that they have authority to bind SOC Vibo Africa unless such authority has been expressly granted.
These Terms may be made available in multiple languages.
Where legally permissible, the version designated as the governing version by SOC Vibo Africa shall prevail in the event of an inconsistency.
Headings are provided for convenience and do not limit the meaning of the relevant provisions.
Words in the singular may include the plural and vice versa where the context requires.
Unless expressly provided, a person who is not a party to these Terms shall not automatically acquire rights under them.
A contractual remedy provided under these Terms does not necessarily prevent a party from exercising another lawful remedy.
Any provision that by its nature should continue after termination shall remain effective, including confidentiality, intellectual property, payment obligations, data retention, liability, dispute resolution, and applicable Carbon Project obligations.
This Part applies to Users participating in Carbon Projects operated, facilitated, developed, or supported through SOC Vibo Africa.
Participation in a Carbon Project may require the User to grant or confirm specific rights relating to carbon removals, emission reductions, environmental attributes, monitoring, verification, registration, sale, transfer, or retirement.
The exact rights shall be established by the relevant Project agreement.
SOC Vibo Africa may register eligible Projects with an applicable carbon standard, programme, registry, government system, or other recognized framework.
A Carbon Project may require project descriptions, baseline assessments, monitoring plans, safeguards, Farm records, maps, calculations, verification documents, contracts, and other documentation.
Participants shall provide reasonable cooperation in preparing such documentation.
The applicable Project methodology shall determine how the baseline is established.
The baseline may be revised where required by methodology, regulation, verification findings, or material changes in Project conditions.
Where required, the Project must demonstrate additionality according to the applicable methodology.
Participation does not guarantee that an activity will be considered additional.
Farmers and other participants may be required to maintain agreed practices and provide information necessary for Project monitoring.
SOC Vibo Africa may prepare or coordinate Project reports based on Farm Data, field records, measurements, satellite information, models, monitoring results, and other approved sources.
Carbon results may be reviewed by an independent validation or verification body.
Participants shall cooperate with reasonable verification requirements.
Carbon credits shall only be treated as issued when formally issued through the applicable authorized process or registry.
Ownership or entitlement to credits shall be determined by the relevant Project agreement, applicable law, land rights, registry requirements, and other governing arrangements.
SOC Vibo Africa or an authorized Project partner may facilitate the sale or transfer of eligible carbon credits in accordance with applicable agreements.
Carbon credits may be retired on behalf of a Buyer or other authorized party.
Retirement generally prevents the same credit from being resold or claimed again.
The same environmental benefit shall not knowingly be claimed, issued, sold, transferred, or retired more than once.
Participants shall not make conflicting claims concerning the ownership or use of the same carbon benefit.
Where carbon storage is credited, participants may be required to maintain the relevant storage for the period specified by the Project methodology or agreement.
Where previously credited carbon storage is lost, the Project may apply applicable reversal-management mechanisms.
Participants shall report material events that may result in carbon loss.
Where required by the applicable carbon standard, a portion of credits may be placed into a buffer, reserve, insurance mechanism, or similar arrangement to address potential future reversals.
A Farmer or Landowner participating in a long-term Carbon Project shall notify SOC Vibo Africa of a material transfer, sale, lease, inheritance, or other change in control of relevant land where required by the Project agreement.
Where a participating landholder dies or transfers rights to another lawful successor, the Project obligations may continue, transfer, or terminate according to the Project agreement and applicable law.
A participant wishing to withdraw from a Carbon Project shall follow the applicable withdrawal procedure.
Withdrawal may be subject to notice requirements and continuing obligations.
If a Project is terminated, existing obligations relating to issued credits, monitoring, verification, carbon reversals, payments, confidentiality, records, or other matters may continue as required.
Carbon revenue shall be distributed according to the applicable Project agreement after applicable costs, fees, taxes, deductions, and other agreed amounts.
A Carbon Buyer may impose eligibility, quality, documentation, certification, environmental, social, or other requirements.
The Project may therefore be required to satisfy Buyer requirements before a transaction is completed.
If an applicable carbon standard, methodology, registry, or regulation changes, SOC Vibo Africa may modify Project procedures to maintain compliance.
Users acknowledge that Carbon Projects operate within evolving regulatory and commercial environments.
Changes in standards, laws, buyer requirements, carbon prices, registry procedures, or scientific methodologies may affect Project outcomes.
Participation in a Carbon Project does not guarantee issuance of credits.
No projected carbon-credit price shall constitute a guarantee unless expressly agreed in a legally binding transaction.
Participants shall make only accurate and supportable statements regarding carbon credits, carbon removals, emissions reductions, verification, issuance, ownership, sale, or retirement.
Participants shall cooperate with reasonable long-term monitoring and integrity requirements necessary to maintain the credibility and environmental integrity of the Carbon Project.
By registering for, accessing, or using SOC Vibo Africa services, the User acknowledges that they have had a reasonable opportunity to review these Terms and agrees to comply with them to the extent permitted by applicable law.
The User confirms that they understand that SOC Vibo Africa services may involve agricultural, environmental, technological, financial, and Carbon Project activities and that each activity may involve different risks and requirements.
Where participation in a particular Project requires additional contractual terms, the User may be required to expressly accept those terms before participation.
The User confirms that information submitted to SOC Vibo Africa is accurate to the best of their knowledge and agrees to update material information where necessary.
The User represents that they have the legal capacity required to enter into these Terms or that they are acting through an appropriately authorized person.
Where participation concerns a Farm, the User represents that they have the appropriate authority or permission to submit the Farm for the relevant service or Project.
Acceptance may be recorded through electronic means, including selecting an acceptance box, clicking an acceptance button, signing electronically, registering an account, or using another approved electronic method.
SOC Vibo Africa may maintain records of different versions of these Terms.
The version applicable to a particular transaction or Project may be determined by the date of acceptance and the applicable agreement.
Users may contact SOC Vibo Africa through the official communication and support channels made available through the Platform or other authorized communications.
Users are responsible for reviewing material updates to these Terms and other policies applicable to their participation.
By accepting these Terms, the User acknowledges that:
a. participation in SOC Vibo Africa services is subject to applicable eligibility and Project requirements;
b. Farm and agricultural information may be collected and processed for authorized purposes;
c. AI and digital tools may assist with Farm Mapping, monitoring, calculations, and other activities but may contain limitations;
d. Carbon-credit generation is not guaranteed;
e. carbon revenue is not guaranteed;
f. Project-specific obligations may apply;
g. accurate information is essential to Farm and Carbon Project integrity;
h. unauthorized manipulation, fraud, or false claims are prohibited; and
i. disputes shall be handled according to the applicable grievance and legal procedures.
These Terms shall take effect from the date specified by SOC Vibo Africa and shall remain applicable until replaced, amended, or terminated in accordance with these Terms or applicable law.
All Users, Farmers, Contractors, Project Participants, Partners, and other persons using SOC Vibo Africa services are expected to act honestly, responsibly, lawfully, and in a manner that protects the integrity of the Platform, participating Farms, Farmers, Communities, Carbon Projects, and the environment.
These Terms, together with applicable Privacy Policies, Project Agreements, Contractor Agreements, Payment Terms, Platform policies, Carbon Project documentation, and other expressly incorporated documents, form the principal contractual framework governing participation in SOC Vibo Africa services.
The User acknowledges that agriculture, technology, carbon markets, environmental projects, financial transactions, and digital services involve inherent uncertainties.
The User accepts the risks that are lawfully allocated to them under these Terms and any applicable Project agreement.
SOC Vibo Africa and Users shall seek to perform their respective obligations in good faith and cooperate reasonably to achieve the legitimate purposes of the services and Projects.
All participants have a responsibility to protect the accuracy, transparency, environmental integrity, financial integrity, and social integrity of SOC Vibo Africa Projects.
By proceeding to use the Platform or participating in an applicable SOC Vibo Africa service after being presented with these Terms, the User confirms their acceptance of the applicable provisions, subject to any rights that cannot legally be waived.
